Internet has been used as a commercial tool since 1980 and with the spread of the internet usage in the world, e-commerce created an evolution in the nature of business life. Electronic contracts changed the traditional paper-based methods with computer systems and as a result, transactions has become faster and cross-border. However, this changes has not come only with advantages but also with uncertainties. In order to solve this uncertainties, organizations and countries started to work on e-commerce regulations. The development of regulations on e-commerce started with UNCITRAL Model Law in 1996 and this Model Law was used as a guidance by different countries and organizations in the world. The work focuses on regulations of e-commerce such as Model Laws, EU Directives and comparative analysis with first Turkish E-Commerce Law. Electronic contracts also have uncertainties in the formation phase (offer and acceptance). The United Kingdom's“Electronic Communication Act 2000”has rules to create an enforceable electronic contract and Turkey does not have particular regulation to solve this legal issue instead of particular law the Law on Consumer Protection and the Code of Obligations are used to resolve uncertainties. This work also covers that how or can legislations solve all uncertainties in electronic contract formation. The paper covers the legal aspects of electronic contracts and analysis the formation of electronic contract with case law and regulations in the UK and Turkey.
