Özet
The provisions regarding the transfer of basic capital shares of limited liability companies, which is the most established type of capital company in our country, have undergone many changes according to the Turkish Commercial Code No. 6102 and eTTK. Although the legislator tried to bring the unique structure of the limited company closer to the joint stock company in the Turkish Commercial Code No. 6102, the limited company preserved its unique structure. One of the ways of gaining the basic capital share in limited companies is the transfer of the share. Unless prohibited by the articles of association, the partners can freely transfer their basic capital shares. However, this transfer is not easy as it is in a joint stock company. It is subject to certain conditions. TCC m. They have to comply with the terms of 595. These conditions are conditions of validity and contracts made in violation of this are subject to the sanction of invalidity. In order for the transfer of the share or the transaction creating the transfer debt to be established between the parties, it must be done in written form and the signatures of the parties must be approved by the notary public. In addition, general assembly approval is required if it is not abolished by the articles of association. The general assembly is not obliged to accept the share transfer with the absolute majority of the attendants, which is the quorum for the ordinary meeting. It may reject the transfer of the share without giving any reason. After the share transfer is accepted at the general assembly, it must be recorded in the share register by the managers. The share ledger has also been accepted from the commercial ledgers. Finally, the transfer of the share must be registered and announced in the trade registry. The application to the trade registry must be made by the company directors. In case the company is damaged due to the negligence of the managers regarding the registration in the share book, registration in the trade registry and announcement, they are obliged to compensate the loss. Both the registration in the share ledger and the registration and announcement in the trade registry are explanatory, not constitutive. The transfer of the share does not require the amendment of the articles of association.
Özet (Çeviri)
The beginning of the 20th century is a period in which the socio-economic balances changed throughout the world. This process, which is identified with technical and scientific progress, has also revealed some changes in the thought life of societies. It created the idea of seeking out ways among the intelligentsia in countries that lagged the technical progress and lagging the colonialism process caused by the increasing competition between countries. It is known that intellectual awakening movements emerged under the leadership of some intellectuals in the face of the current situation in the Turkish World, which lost its former position and started to decline in the face of the developments in the West. Undoubtedly, one of the most important of these movements is Jadidism, which has the power to shed light on even today's problems. Jadidism movement, or in other words Jadidism, emerged among the Russian Turks in the 19th century. It is an enlightenment movement that seeks solutions against underdevelopment and is based on the awakening of the people, to which Ismail Gaspirali also made important contributions. The actions that started in the field of education and culture soon showed themselves in the economic and political field and Jadidism gained a socio-economic dimension. On the other hand, in line with İsmail Gaspirali's ideal of Unity in Language, Idea and Action, it also had a line aiming at unity in the Turkish World. Along with Ismail Gaspirali's Tercüman Newspaper and Usul-ü Cedit schools, many intellectuals among Russian Turks supported this process and this innovation turned into an enlightenment movement. With the effect of the innovation movement initiated by İsmail Gaspıralı with the Tercüman Newspaper and the New Method Schools, many intellectuals among the Russian Turks supported this process and this innovation turned into an enlightenment movement. The most important aim of this movement was economic development. The idea of development offered by Jadidism not only aimed at material improvement in economic indicators, but also aimed at the spiritual development of society. In this direction, they discussed the issues that are still under discussion, such as women's rights, on the axis of development. In addition, in this regard, it had great effects and successful steps were taken until the establishment of the Union of Soviet Socialist Republics. The aim of this thesis is to reveal the economic aspects of the idea of Jadidism, which emerged in the Russian Turks at the end of the 19th century, on the axis of İsmail Gaspıralı, and its socioeconomic effects in the process from the end of the 19th century to the establishment of the Union of Soviet Socialist Republics. In addition, in the context of this purpose, the effects of Jadidist thought on the relations between the viii Turkic Republics in the establishment phase of the Republic of Turkey and in the postindependence period will be discussed. For this purpose, the works written by Jadidist thinkers will be analyzed and the activities will be examined. It is seen that the Jadidist thought has the ideal of unity in the Turkish World together with the socio-economic development. This ideal has developed with İsmail Gaspirali's consciousness of“Unity in Language, Idea and Action”. Although some successes were achieved in this regard in the atmosphere created by the 1905 Revolution in Tsarist Russia, activities in line with the ideal of unity were not possible during the Soviet Union period. However, with the disintegration of the Soviet Union, important steps were taken for unity between the independent Turkic Republics with the“Summits Process”and the Organization of Turkish States was established at the end of this process. Although the establishment of this organization is a historical step, it is seen that today it is far behind the idea of unity drawn by Ismail Gaspirali.
