Özet

The subject matter of this thesis is about a concrete international commercial dispute. This dispute was discussed at the 26th Willem C. Vis International Commercial Arbitration Moot1 between the parties and in the presence of the arbitrators. The team of Charles III University of Madrid participated in this moot and prepared the memorandums for the Claimant and Respondent. Taking into consideration the mentioned memorandums and the issue in dispute we hereby prepared an arbitral award with the aim of evaluating the conflict between the parties and providing a binding solution thereof. The problem analysed in this thesis in brief consists of the Claimant's, i.e. Seller, claim brought against the Respondent, i.e. Buyer in respect of the adaptation of the Frozen Semen Sales Agreement signed between the parties. The reason of the mentioned adaptation request is based on the imposition of a 25% retaliatory tariff by the Respondent's Government. In consequence of the imposition of this tariff, the Seller bears an extraordinary amount which was unexpected to both parties at the time of signature of the sales agreement. Therefore, the Seller requests the adaptation of the Sales Agreement via claiming the reimbursment of the extra payment he made. The thesis analyses the mentioned claim taking into account certain preliminary objections raised by the Respondent, among these most importantly the jurisdiction of the Tribunal for adaptation. We have put our best endevours to find the most equitable and proper solution in order to resolve this dispute. For this, we have tried to respect at utmost the parties wills and interpret the Agreement's arbitration and hardship clauses with the aim of reaching the actual intention of the parties. Finally, we came to the conclusion that the Tribunal has jurisdiction to adapt the Agreement and we adapted it indeed in the most equitable way we found by distributing the tariff amount in half shares between the parties. In the preparation of this thesis we have used many methods to research the necessary information, among these we could emphasize the relevant doctrine and case law in addition to the very useful lectures of our Prof. Alejandro Garro. In conclusion, we believe that in the resolution of an international commercial arbitration dispute, the intentions of the parties should be interpreted in a more liberal manner in order to procure and protect the commercial interest between them.
