Özet
Limited ortaklık müdürünün azli, ortak olan müdürler bakımından eTK 543/1'in kollektif ortaklığa ilişkin atfı dolayısıyla eTK 161 ve 162 hükmü uyarınca ve ortak olmayanlar için ise eTK 543/2 hükmüne göre gerçekleştirilmekte idi. 6102 sayılı Türk Ticaret Kanunu ile birlikte pek çok konuda olduğu gibi müdürün azli konusunda da kollektif ortaklığa yapılan atıftan vazgeçilmiştir ve TK 630 hükmü ile açıkça düzenlenmiştir. Biz de çalışmamızda limited ortaklığın organları ve müdürler ile ortaklık arasındaki hukuki ilişki hakkında genel bilgiye yer verdikten sonra TK 630 üzerinde derinlemesine değerlendirme yapmayı uygun görmekteyiz. Hüküm çerçevesinde özetle, genel kurulun azil yetkisi, sadece müdürlerin değil“yönetici”lerin azli meselesi, müdürün azlinde haklı sebep olabilecek hâller, azlin genel kurul kararı ile gerçekleşmesindeki süreç, haklı sebeple azil davasında davacı ve davalı taraf, yargılama süresince talep edilebilecek geçici hukuki korumalar, yargılama sonunda nihai karar olarak azil dışında verilebilecek kararlar, öğreti ve yargı tatbikatı da dikkate alınarak incelenecektir.

The dismissal of the manager of a limited liability partnership was carried out in accordance with Articles 161 and 162 of the previous TCC for the managers who were partners, and in accordance with Article 543/2 of the previous TCC for the managers who were not partners, due to the reference to the collective partnership in Article 543/1 of the previous TCC. With the Turkish Commercial Code No. 6102, the reference to the collective partnership regarding the dismissal of the manager, as in many other matters, has been abandoned, and it is explicitly regulated by Article 630 of the TC. In our study, after providing general information about the organs of the limited partnership and the legal relationship between the managers and the partnership, we deem it appropriate to make an in-depth evaluation on Article 630 of the TC. In summary, within the framework of the provision, the power of dismissal of the general assembly, the issue of dismissal of not only the managers but also the“directors”, the circumstances that may justify the dismissal of the director, the process in the realisation of the dismissal with the resolution of the general assembly, the plaintiff and the defendant in the dismissal for just cause, the temporary legal protections that may be requested during the proceedings, and the decisions that may be made other than dismissal as the final decision at the end of the proceedings will be examined by taking into account the doctrine and judicial practice.
