The goal of the current research was to examine the exhaustion of trade mark rights and parallel importation in European Union and Turkey. Exhaustion of the trade mark rights is a kind of boundary on the rights of the trade mark owner, after the goods release to the market. For this reason, exhaustion of trade mark rights restraints the power of the trade mark owner under the free movement of goods and fair competition in the market. However, there is not any adopted uniform law regulates exhaustion regime so the principle and its limits varies from state to state. The different implementation of the principle by the states causes a conflict between the intellectual property law and competition law. In the proposed research, first of all the trade mark rights' exhaustion is defined with its historical background and development, including the purpose and the significance of the principle with its benefits. Secondly; by looking through the different kinds of exhaustion regimes, the international aspect of the principle is referred from the European Union and Turkey aspect. Subsequently; the relation between exhaustion and the parallel importation and the effects of exhaustion to the parallel importation is analysed, the analysis is also done through competition law. Following, parallel importation is defined and its development is considered, including the purpose and the significance of the principle with its benefits. And finally; subject matter of exhaustion of the trade mark rights and the parallel importation is discussed through the European Union and Turkey.
