Özet
Bir özel hukuk prensibi olan ticaret hukuku alanında, ticaret şirketleri içerisinde sahip oldukları sermayeleri göz önünde bulundurulduğu zaman sürekli olarak gelişen ekonomi dünyasının en büyük aktörlerinden birisi hiç şüphesiz ki anonim şirketlerdir. Bu sebeple halka açık veya halka kapalı olması fark etmeksizin anonim ortaklıklarda, pay sahibi olmak ve bu payların çoğunluğunu elinde bulundurmak suretiyle anonim ortaklıkta söz sahibi konumuna gelmek, bir başka deyişle anonim ortaklığın icrai mercii olan yönetim kurulunda hakimiyet sağlamak suretiyle kontrolü ele geçirmek büyük önemi haizdir. Bu doğrultuda anonim ortaklığın sermayesinin, birimlere ayrılmış şeklini ifade eden pay ile sahip olunan bu payın devri işlemi çalışmamızın iki temel kavramını oluşturmaktadır. Bu kapsamda, öncelikle pay kavramı ihtiva ettiği tüm anlamları ve nitelikleriyle birlikte irdelenecek olup akabinde paya hakim olan ilkeler ile payın devri başlığı altında ayrı ayrı, senede bağlanmamış (çıplak) payın devri, hamiline yazılı pay senetlerinin devri, nama yazılı pay senetlerinin devri, pay defteri ve son olarak da bağlı nama yazılı pay senetlerinin devri üzerinde durulacaktır.

One of the biggest actors of the world of economics which is constantly evolving in the field of commercial law, which is a private law principle, when considering the capital they own in trading companies is undoubtedly joint stock companies. For this reason, regardless of whether it is open to the public or not, it is of great importance to gain control of the joint stock company by becoming a shareholder and holding majority of the shares in the joint stock company, in other words to gain control over the board of directors, which is the executive body of the joint stock company. In this direction, the share of the capital of the joint stock company, which shares with the shares of the units, constitutes the two basic concepts of our work of transferring. In this respect, it will be examined together with all the meanings and qualities that the share concept includes and then the principles that dominate the share will be examined and the share of the transfer of shares of the transfer (nude) share certificates, book and finally the shares bearing the registered shares attached to it.
