Özet
Şirket esas sözleşmesine konulabilecek hükümlerden biri de 6100 sayılı Türk Ticaret Kanunu m.360 gereği imtiyaz sıfatını haiz, belirli grupların yönetim kurulunda temsil edilme hakkıdır. Bu imtiyaz ile anonim şirketlerde belirli pay gruplarına, özellik ve nitelikleriyle belirli bir grup oluşturan pay sahiplerine veya azlığa şirket yönetiminde söz sahibi olma, yönetime katılma imkânı tanınmaktadır. Şirket hissedarlarına yönetime katılma imkânı sağlayan bu hak, şirket yönetimini ve dolayısıyla şirketin geleceğini etkilediğinden anonim şirketler açısından önemli imtiyazlardan birisidir. Bu kapsamda çalışmamızda öncelikle bu hakkın tanımı yapılıp kapsamı çizilecek ve bu hakka ilişkin temel bilgilerin verilmesi amacıyla yönetim kurulunda temsil edilme hakkı bir kavram olarak ele alınıp hukuki niteliği ortaya konulacaktır. Bu temel bilgiler dışında belirli grupların yönetim kurulunda temsil edilme hakkının detaylı olarak açıklanması gerekmektedir. Bu doğrultuda öncelikle belirli grup kavramı açıklanıp, bu hakkın tanınması yöntemi ve bu hak için öngörülen kanuni ve iradi sınırlamalar ele alınacaktır. Son olarak ise belirli gruplara yönetim kurulunda temsil hakkı tanınan şirketlerde özel bir durum arz edebilecek birleşme, bölünme ve tür değiştirmenin incelenmesi yerinde olacaktır. Türk Ticaret Kanunu m.360'a göre belirli grupların yönetim kurulunda temsili, imtiyaz niteliğindedir. Türk Ticaret Kanunu sistematiğinde imtiyazlar kural olarak sadece paylara tanınırken, yönetim kurulunda temsil edilme hakkı ile ilgili istisnai bir hüküm getirilmiştir. Yine imtiyaz türlerine baktığımızda ikili bir ayrım olduğu görülmektedir; malvarlığına yönelik imtiyazlar ve yönetime yönelik imtiyazlar. Çalışma konumuz olan yönetim kurulunda temsil imtiyazı, uygulamada sık kullanılan yönetime yönelik imtiyazlardandır.

One of the clauses that may be included in the articles of association of the company is the right to be represented in the board of directors of certain groups which have the title of concession as required by Turkish Commercial Code Art.360. With this privilege, joint stock companies give the opportunity to participate in the management to the certain share groups, shareholders that form a certain group with their characteristics and qualifications or minority groups. This right, which allows the company's shareholders to participate in management, is one of the most important concessions for corporations as it affects the management of companies and the future of companies. In this study, this right will be defined and its scope will be drawn. In order to give basic information, this right will be considered as a concept and its legal nature will be revealed. After these basics, the right to be represented on the board of directors of certain groups should be explained in detail. In this context, first of all, the concept of a certain group will be explained and the method of recognition of this right and the legal and voluntary limitations envisaged for this right will be discussed. Finally, to examine the merger, division and change of type, which may present a special situation in companies that are entitled to represent the board of directors to certain groups, would be appropriate. According to TTK art.360, it is a representative privilege on the board of certain groups. While the privileges in the TTK system as a rule are granted only to the shares, an exceptional provision regarding the right of representation in the board of directors has been introduced. When we look at the concession types, there is a double distinction; monetary privileges and management privileges. The privilege of representation in the board of directors, which is our subject of work, is one of the privileges for the management which is frequently used in practice.
