Özet
Anonim şirket esas sözleşmesi, 6102 sayılı Türk Ticaret Kanununun 339'uncu maddesinde düzenlenmiştir. İlgili madde uyarınca Esas Sözleşmenin şekli ve yapılması gereken hususlar ile hangi hususların bulunması gerektiği düzenlenmiştir. Çalışmamızın ilk bölümde Esas Sözleşme kavramı ve Esas Sözleşmenin Hukuki Niteliğine değinilmiş, ikinci ve üçüncü bölümde sözleşmeler arasındaki konumu ve borçlar kanununun genel hükümlerinin Esas Sözleşmeye uygulanabilirliği incelenmiştir. Esas Sözleşme açısında önemli bir ilke olan ve TTK 'da düzenlenen Emredici Hükümler İlkesine dördüncü bölümde bahsedilmiştir. Çalışmamızın beşinci ve altıncı bölümlerinde ise Esas Sözleşme İçeriği ve Esas Sözleşmenin Değiştirilmesine değinilecektir.
Özet (Çeviri)
The Article of Associattion of join stock company is regulated to 339th article of 6102 on the Turkish Commereal Law. The form of artical of association, requirements as to form and the terms that is included is stated is the related article. The first part of the thesis is explicated that the notion and legal nature of article of association. İn the second and third parts of the thesis is examined the questions that what is the positioning of the article between the other articles and how is general provisions of the Turkish Code of Obligations applied to the article of association. The fourth part of the thesis is mentioned from the compulsory provisions is stated Turkish Commereal Law that is the one of the mains principles of the article of association. The fifth and sixth parts of the thesis is examined that the content and amendment of the article of association.
