Developments in technology and commerce both in national and international level have led to new understanding called corporate governance. In order to ensure coherence within the financial and legal framework between the countries, corporate governance has been accepted as a tool. As a developing country, Turkey has focused on the corporate governance studies to adopt its own legislation system. In this study, it emphasizes the importance and features of corporate governance principles adopted by OECD and focusing on the laws of Turkey's about this subject matter whether it is successful or not. As a result of this study, it can easily be said that Turkey has made significant efforts in order to have good governance practice. However, it needs to have further developments in the field of family based company structure, law enforcement with strict regulations and international standards of monitoring and auditing mechanisms regarding social, cultural and economic factors.
