Özet

In recent years, both in Turkey and Belgium, the tendency of producers to market their goods through distribution agreements has increased and the exclusive distribution agreement has begun to be used frequently. The legal nature of the exclusive distribution agreement, its elements and differences from other agreements are important. This situation has led the exclusive distribution agreement to be handled distinctly in the doctrines of both countries and also resulted in its frequent examination in judicial decisions. In addition, the notion and definition of the exclusive distribution agreement the elements of the exclusive distribution agreement, and the consequences of the termination of the agreement, especially the goodwill compensation, are also discussed in the doctrine and judicial decisions. In this respect, our study is based on the goodwill compensation of the exclusive distributor in terms of Turkish Law and Belgian Law, and in order to better understand the subject, in the first part, the concept of the exclusive distribution agreement is examined by considering the legislation, doctrine and case law of both countries, the elements of the exclusive distribution agreement, which make it a sui generis agreement, are discussed, their similarities and differences are determined by comparing them with similar contracts, and lastly, the reasons for termination are briefly treated. In the second and last part, the definition, purpose, source, claim conditions and calculation method of goodwill compensation, which is one of the important consequences of the termination of the exclusive distribution agreement, in terms of Turkish and Belgian Law, are examined
