Özet
6098 sayılı Türk Borçlar Kanunun yürürlüğe girmesiyle TBK m. 205 hükmünde sözleşmenin devri ayrı bir hukuki kurum olarak düzenlenmiştir. TBK m. 205 uyarınca sözleşmenin devri,“sözleşmeyi devralan ile devreden ve sözleşmede kalan taraf arasında yapılan ve devredenin bu sözleşmeden doğan taraf olma sıfatı ile birlikte bütün hak ve borçlarını devralana geçiren bir anlaşma”şeklinde tanımlanmıştır. Tanımdan anlaşıldığı üzere sözleşmenin devri ile birlikte devre konu sözleşme ilişkisinin mevcut taraflarından birinin yerine sözleşme dışı üçüncü bir kişi geçmekte ve sözleşme ilişkisi sözleşmede kalan ile sözleşmeyi devredenin yerine geçen sözleşmeyi devralan arasında sürdürülmektedir. Çalışmamızın amacı, TBK m. 205'te düzenlenen sözleşmenin devri kurumunu ve bu kurumla ilgili ortaya çıkabilecek borçlar hukuku meselelerini derinlemesine ele almaktır. Bu amaç doğrultusunda üç bölümden oluşan çalışmamızın ilk bölümünde sözleşmenin devri kurumunun genel olarak tanıtımı yapılmış; ikinci bölümünde devir sözleşmesi ele alınmış, üçüncü ve son bölümde ise devrin sonuçları değerlendirilmiştir.

With the entry into force of the Turkish Code of Obligations No. 6098 (“TCO”), the transfer of contract has been regulated as a distinct legal institution under Article 205 of the TCO. Pursuant to Article 205 of the TCO, the transfer of contract is defined as 'an agreement concluded between the transferee, the transferor, and the remaining party, which transfers to the transferee all rights and obligations together with the status of being a party to this contract.' As understood from the definition, with the transfer of contract, a third person replaces one of the existing parties to the subject contractual relationship, and the relationship is maintained between the remaining party and the transferee who replaces the transferor. The aim of our study is to conduct an in-depth analysis of the institution of the transfer of contract as regulated in Article 205 of the TCO and the issues of the law of obligations that may arise regarding this institution. In line with this objective, our study consists of three chapters: the first chapter provides a general introduction to the institution of the transfer of contract; the second chapter examines the transfer agreement; and the third and final chapter evaluates the consequences of the contract transfer.
