Özet
Bu yüksek lisans tezi, 6362 sayılı Sermaye Piyasası Kanunu ve 6102 sayılı Türk Ticaret Kanunu hükümleri doğrultusunda halka açık anonim ortaklıkların genel kurul toplantılarında uygulanacak yeter sayıları, yeter sayılara ilişkin teorik açıklamalar, halka açık anonim şirket genel kuruluna uygulanacak hükümler ile halka açık anonim şirket genel kurul toplantılarına özgü düzenlenen yeter sayılar olmak üzere üç farklı bölüm dâhilinde, konu edinmektedir. Tezde esas alınan mevzuat 6362 sayılı Sermaye Piyasası Kanunu ve Sermaye Piyasası Kurulu tarafından düzenlenen tebliğler olmakla beraber, gerekli görülen yerlerde Türk Ticaret Kanunu'na ve bağlı ikincil mevzuatına, doktrinden farklı görüşlere, Yargıtay uygulamalarına da yer verilmiştir.

This master's thesis addresses the quorum requirements applicable to general assembly meetings of publicly held joint stock companies, within the framework of Law No. 6362 on Capital Markets and Law No. 6102 on the Turkish Commercial Code. The study is structured into three distinct sections: theoretical foundations and explanations regarding quorum concepts, the legal provisions governing general assemblies of publicly held joint stock companies, , including the specific quorum rules tailored to their functioning. While the primary legislative framework of the thesis comprises Law No. 6362 and the communiqués promulgated by the Capital Markets Board, the analysis also incorporates relevant provisions of the Turkish Commercial Code and its secondary legislation, divergent doctrinal interpretations, and jurisprudence of the Court of Cassation where appropriate.
