SUMHAIT One of the main problems of the developing countries is the difficulty in finding financial resources. In developed countries this problem is solved by providing financial resources from capital markets. As a securities mortgage bond is a capital market instrument. The investor's credit is secured with a lien on real estate and by the issue of these bonds, money invested on real estate can be used in the economy. In the system of civil law, mortgage bonds are regulated as lien on real estate. There are two types of mortgage bonds. In one type, the debtor's responsibility is limited with the value of the real estate, in the second type, the debtor's responsibilitiy is not limited and he also has personal responsibility. In this paper the legal issue of the two type of mortgage bonds' within the scobe of capital market regulations has been analyzed. The subject is reviewed in six parts. In the first part, the mortgage bonds in general, in the second part functions, legal properties and kinds, in the third part subject, issue and establishment of lien upon real estate, in the forth part circulation of the bonds and providing securitiy of circulation, in the fifth part peyment of the debt, in the sixth part non payment of the debt and foreclosure. sssssö" 153
