Özet

Franchise sözleşmesi önemli sözleşmelerden biridir. Zira dünya istatistikleri, başarılı olan projelerin %80'inin franchise projeleri olduğunu ifade etmektedir. Irak kanunu Mısır kanunundan çok etkilenmiştir. Zira her iki kanunda birbirine benzer çok metinler bulunmaktadır. Ayrıca Mısır'ın franchise sistemini uygulamada büyük bir tecrübesi bulunmaktadır. Çalışmamızda franchise sözleşmesi konusuyla ilgili Arapça ve yabancı araştırmalar, incelemeler ve fıkıh kitapları incelenerek Irak, Mısır ve Türk hukukunda karşılaştırmalı bir araştırma yöntemi takip edilmiştir. Franchise sözleşmesinin taraflarını franchise veren ve franchise alan oluşturmaktır. Bu sözleşme ile franchise veren, sahibi olduğu teknik bilgi ve marka haklarını franchise alana kullandırmayı ve onu sistemine entegre etmeyi üstlenir. Franchise verenin geliştirdiği sistemi kullanan franchise alan, bunun karşılığı olarak sürümü destekleme ve bir ücret ödemekle yükümlüdür. Franchise sözleşmesi karma bir sözleşmedir. Onun hukuki niteliği diğer sözleşmelerden farklıdır. Franchise sözleşmesi bağımsız bir sözleşme sistemi olup özel bir yasal sistemine ihtiyaç duymaktadır. Irak, Mısır ve Türk hukuk sisteminde, franchise sözleşmesi ve sona ermesi ile ilgili özel yasal bir düzenleme mevcut değildir. Sürekli bir borç ilişkisi kuran franchise sözleşmesinin de, her borç ilişkisi gibi bir sonu vardır. Bu sona ermenin gerek franchise alan gerekse franchise veren açısından çeşitli sonuçları bulunmaktadır. Çalışmamızda son olarak, franchise sözleşmesinin sona ermesinin sonuçları değerlendirilmiştir.

The franchise agreement is one of the important contracts. Because world statistics indicate that 80% of successful projects are franchise projects. The Iraqi law was very influenced by the Egyptian law. There are many similar texts in each of the two lines. There is also a great deal of experience in implementing the Egyptian franchise system. Indeed, A comparative research method was followed in Iraqi, Egyptian and Turkish law by examining the Arabic and foreign researches, examinations and fiqh books related to the franchise contract in our work. The franchise contract is to create franchisees and franchisees. With this contract, the franchisor undertakes to use the technical knowledge and trademark rights that he owns in the franchise area and integrate it into his system. The franchisee using the system developed by the franchisee is obliged to support the version as a counterpart and pay a fee. The franchise contract is an atypical contract. Its legal nature is different from other contracts. The franchise agreement is an independent contracting system and requires a special legal system. In the Iraqi, Egyptian and Turkish legal system, there is no specific legal regulation concerning the franchise agreement and the end-of-term law. The franchise agreement, which establishes a constant debt relationship, has an ending like every debt relationship. This sona has a variety of consequences for both the franchisee and the franchisee. In our work, the results of the end of the franchise agreement were evaluated.
