Özet
Acentelik sözleşmesi, tam iki tarafa borç yükleyen, sürekli edimli bir iş görme sözleşmesidir. Çalışmamızın asıl amacı acentelik sözleşmesinin nasıl sona ereceğinin tespiti ve sona erme şartlarının değerlendirilerek ortaya koyulmasıdır. Bu bağlamda ve sözleşmenin sona ermesiyle ilgili olduğu ölçüde acentelik sözleşmesinin unsurları, tarafları, türleri inceleme konusu edilmiştir. Acentelik sözleşmesinin sona ermesinin muhtelif sonucu bulunmaktadır. Bunlar ücretlerin ödenmesi, malların ve belgelerin iadesi, temsil yetkisinin sona ermesi, tazminat talep edilebilmesi, denkleştirme isteminde bulunulabilmesi ve sözleşme sonrası rekabet yasağıdır. Acentelik sözleşmesinin sona ermesi, kendiliğinden sona erme sebeplerinin vuku bulmasıyla gerçekleşebilir. Bu ihtimale ek olarak, olağan ya da olağanüstü fesih hakkının kullanılması ile de acentelik sözleşmesine son verilebilir. Bu noktada olağan fesih hakkının nasıl kullanılacağı ve olağanüstü fesih hakkının temelini oluşturan haklı sebep kavramları özel bir önem taşımaktadır.
Özet (Çeviri)
Agency contract is a synallagmatic service contract with continuous performance. The main purpose of this work is to determine how and under which conditions the agency contract is terminated. The elements, parties and types of the agency contract are examined throughout the work to the degree that they are in relation with the termination of the contact. Termination of the agency contract results several consequences which are, the payment of the remuneration, return of the goods and documents, ending of the representative authority, claiming for indemnity, compensation for clientele and post-contractual prohibition of competition. The agency contract may end without notice automatically provided that one of the reasons for it takes place. In addition to that possibility, it may also be terminated by the use of ordinary or extraordinary termination rights. The use of termination right and the concept of just cause, which is a keystone for the extraordinary termination are of particular importance at this point.
