Özet
ÖZET Gelişmekte olan Türkiye'nin Avrupa Birliği'ne girme çabalan sonucu Küçük ve Orta ölçekli işletmelerin varlığı gündeme gelmiştir. Ekonomiyi sürükleyen ve ona dinamikler getiren inşaat sektöründe bu kavram soyut kalmıştır. Fazla sermaye gerektirmeyen yüklenici inşaat işletmesi kuruluşu genel olarak müteahhit firma olarak adlandırılmıştır. Türkiye'de konu ile ilgili otorite olarak kurulan KOSKEB, inşaat sektörünü imalat sektöründen saymamış ve bu konuda bir tanımlama getirememiştir. Burada esas sorun inşaat sektörünün diğer sektörlerden farklarıdır. Tez araştırmasının 1. Bölümünde çalışmanın tanımlaması yapılmış, 2. Bölümde de inşaat sektörünün durumu ve diğer sektörlerle arasındaki gözlemlenen farklar ortaya konmuştur. 3. Bölümde Küçük ve Orta ölçekli İşletme tanımları ve inşaat sektöründeki karşılıkları aranmıştır. İnşaat sektörünün konumuzu ilgilendiren en önemli özelliği; her proje döneminde çalışan grupların farklılığı ve her proje grubu için ayrı bir sözleşme düzenlenmesidir. Proje teslim sistemleri; (project delivery systems) sektör içinde yer alanların (kullanıcı-tasarımcı-uygulayıcı) sözleşmeyle bir araya geliş biçimlerini ifade etmektedir. Sözleşmeler (contractors) oluşan ekipler arasındaki ilişkiyi ve yapılan işin karşılğı ödemelerin nasıl olacağını organize etmektedir. 4.Bölümde proje teslim sistemlerinden ve organizasyonlarından bahsedilmiştir Araştırmanın ikinci önemli noktası; Türkiye şartlarında proje teslim sistemlerinden biri olarak gündeme gelen yap-sat sunum biçimidir. Bu sunum; inşaat sektöründe götürü usul (lumpsum) sözleşmede ücretin arsa payı yada kat karşılığı olarak verilmesi olarak tanımlanmaktadır. Araştırma sırasında Küçük ve Orta Ölçekli yüklenici inşaat işletmelerinin (müteahhitler) ekonominin sıkıştığı noktalarda bile kat karşılığı inşaat yani yapsat inşaat sunumunun tercih ettiği gözlenlenmiştir. Sözleşmelerin ilişkileri düzenlemesi hukuki bir durumu gerektirir.ö.bölümde Türk Hukuk Sistemi'nde Borçlar Hukuku'nun 353.-371. maddelerinde tarif edilen yapıt sözleşmeleri anlatılmıştır.Sözleşmelerin dayanağı olan kanunlara ve sözleşmenin hukuki ve teknik yapısına bu bölümde yer verilmiştir. İnşaat sektörü bu kadar önemli iken yeterince araştırılıp geliştirilememiş olması sözleşmeler konusunu da etkilemiştir. Bu güne kadar yapılan sözleşmeler borçlarkanununun yetersizliği sebebi ile ilgili mahkemeler tarafından yorumlanarak karara varılmasına sebep olmuştur. Bu çalışma ile, inşaat sektöründe önemli bir eyri olan küçük ve orta ölçekli yüklenici inşaat işletmelerinin kullandıkları kat karşılığı inşaat sözleşmelerinden bahsedilerek, konu ile ilgili teknik elemanların (mimar, mühendis, müteahhitler v.b.) bu konuda fikir sahibi olması amaçlanmıştır. Konunun sadece bir hukuk konusu olduğu ve avukatlarca yorumlanabileceği görüşünün yanısıra bu konuda daha anlaşılabilir bir dille yaklaşım sergilenmeye çalışılmıştır.

SUMMARY As a result of the efforts for entering to the European Union of Turkey who has been developing, the presence of small and medium sized enterprises passed to the agenda. This concept has been remained as abstract in the construction sector which is leading the economy and bringing the dynamics. The establishment of undertaker management of construction which it does not required much capital, generally named as“contractor company”. KOSKEB, which founded in Turkey as an authority, it did not take into account the construction sector as manufacture sector and it did not bring any definition on this subject. The main problem here is that the differencies of the construction sector from other sectors. The definition has been done in the first chapter of the thesis, the situation of the construction sector and the differencies with the other sectors have been exposed in the second chapter. The definitions of small and medium sized enterprises and their equivalents have been searched in the third chapter. The most important peculiarity of the construction sector is the differency of the groups which worked together in every project period and organizing different contracts for each project group. The project delivery systems explain the user- designer-contractor which come together with the contract. The contracts organized the connection between the groups and the payments for jobs which done before. It has been talked about the project delivery systems and their organizations in the chapter four. The second important point of the research is, the offer plan of constructing-selling which it has been passed to the agenda as one of the project delivery systems in Turkey recently. This offer is explaining as the fee is paid as partial quantities of land or apartment. The small and medium sized contractors prefer constructing-selling offer plan or partial quantities of apartment system even in the events of economical crises (economic fluctuations). The arrangement of the contracts require a legal situation. The constructions contracts have been described which explained in the articles of 353-371 of Law ofObligations of Turkish Law System in the fifth chapter. The regulations which are principles of the contracts and the legal and technical structures of the contract are in this chapter. The construction sector has not been studied enough despite its importance so, because of this reason, the subject of contracts have been effected in negative way. The contracts until today, have been interpreted by courts and reached to the final result by this way. One of the main purpose of this study is to talk about the contracts of the consideration of apartment system which is using by small and medium sized construction companies and to inform technical staff (such as architect, engineer, contractor). Also it has been tried to explain that, the law shall be interpreted by the attorneys and the subject is the law matter.
