Özet
Çalışmanın amacı bağımsız tacir yardımcılarından biri olan acenteleri ayrıntıları ile incelemektir. Acente, acentelik sözleşmesine dayanarak müvekkil nam ve hesabına belirli bir yer ya da bölgede sözleşmeler yapan ya da sözleşmelere aracılık eden bağımsız tacir yardımcısıdır. Yazılı olarak aksi kararlaştırılmadıkça acente aynı yer veya bölgede birden fazla müvekkile acentelik yapamayacağı gibi müvekkil de birden fazla acente tayin edemez. Acente acentelik yaparken çeşitli hak ve yetkilere sahip olacaktır. Bununla birlikte müvekkilin de acentelik ilişkisinde hakları ve borçları bulunacaktır. Acentelik ilişkisinde acentenin en önemli ve başat hakkı ücrettir. Müvekkil ise bunun karşılığında acenteden ana edim olarak sözleşmeler yapmasını veya sözleşmelere aracılık etmesini bekler. Acente belirli şartlar gerçekleştiğinde müvekkilinden sözleşme sonrasında denkleştirme istemi talep edebilir. Buna ek olarak müvekkil sözleşme ilişkisi sonrasında acentenin kendisiyle rekabet etmesini istemeyebilir. Bu amaçla sözleşme sonunda işlerliğe girecek bir rekabet yasağı sözleşmesi de taraflar arasında yapılabilecektir. Bu durumda acente sözleşme ilişkisinin sona ermesinden itibaren aynı yer veya bölgede müvekkili ile en fazla iki yıl rekabet etmeyecektir.

The aim of the study is to examine the agencies that are one of the free assistants of the merchant in detail. Agency is an free assistant of a merchant who concludes or mediates contracts in a specific location or region on behalf of the client based on the agency agreement. Unless otherwise agreed in writing, the agency cannot act on behalf of more than one merchant in the same place or region, and the client cannot appoint more than one agency in the same place or region. The agency will have various rights and obligations while acting as an agency. However, the principal will also have rights and obligations in the agency relationship. In the agency relationship, the most important and foremost right of the agency is the fee. In turn, the principal expects the agency to conclude or mediate contracts as the main action. The principal may not want the agent to compete with her when the contractual relationship ends. For this purpose, a non-competition agreement that will come into force at the end of the contract can be agreed between the contracting parties. In this case, the agency will not compete with its principal in the same place or region for a maximum of two years after the contractual relationship is terminated.
