Özet
In order to feel safe and willing, people who want to make sale of goods transactions have specific demands from the governing law of the contract. The main ones of the most important demands of contractors from the governing law are certainty, reasonableness and protection against financial collapse. United Nations Convention on Contracts for the International Sale of Goods law and English Sale of Goods law are highly preferred law regimes amongst contractors. This dissertation aspires to inform lawyers, scholars and merchants on whether English sales law's or the CISG law's buyer's remedies provide more certainty, reasonableness and protection to parties' financial situation. In order to fulfilling this purpose and for the purpose of reaching comprehensive and satisfying conclusion, both legal regimes' buyer's remedies are discussed respectively, separately and as a whole in the light of the different envisaged approaches of both laws with regard to sale of goods contracts. As a result of all this research, it is concluded that the English sales law prioritizes certainty rather than reasonableness in terms of buyer's remedies even though it refers the term reasonable at several different points. On the other hand, it is clear that the United Nations Convention on Contracts for the International Sale of Goods is concerned about providing reasonableness at the expense of certainty to some extent. Besides those with regard to protection of financial situation against devastating consequences it has been reached that both law regimes provide certain measures in buyer's remedies. However, compared to English sales law, greater protection against dramatical financial losses provided by the Convention.
