This study tries to illustrate the importance of intellectual property rights in the pharmaceutical mergers and acquisitions. The pharmaceutical industry has some specific components unlike the other industries, which cause a high level of risk especially for the acquirers in corporate transactions. By generic drugs' entry into the market after the patent expiration of brand drugs, the big pharmaceutical companies, which generally have spent million dollars to all research and development process to develop drugs, face with difficulties to maintain their place in the market. Due to the decrease in the cost of this process and enhance innovation in their drug pipeline with all other reasons below, these pharmaceutical companies acquire small biotech start-ups which are focused on research and development. Therefore, mergers and acquisitions actually are used as a tool by big pharmaceutical companies. In this paper, it is going to be assessed that despite this high level of risk why many big pharmaceutical companies continue to acquire biotech companies, what their main motivations are and how the risk can be reduced.
