Özet
Anonim şirketler yönetim kurulu tarafından yönetilir ve temsil olunur (TTK m. 365). Yönetim kurulu birtakım görev ve yetkilerini bizzat yerine getirmek zorunda olup, birtakım görev ve yetkilerini devredebilir. Çalışmamızda tüm bu hususlar ayrı ayrı yer almaktadır. Çalışmamızın birinci bölümünde yönetim kurulunun görev ve yetkileri ele alınmaktadır. Bu bölümde öncelikle birbiriyle karıştırılan yönetim ve temsil yetkisinin farklarından kısaca bahsedilmiştir. Bu bölümde asıl üzerinde durulan husus, yönetim kurulunun devredilemez ve vazgeçilemez görev ve yetkileridir. Yönetim kurulunun en önemli görev ve yetkilerinden biri şüphesiz yönetim yetkisidir. Bu sebeple çalışmamızın ikinci bölümünde yönetim yetkisinin devri üzerinde durulmuş; devrin amacı, kapsamı, şartları ve sonuçları belirtilmiştir. Çalışmamızın son bölümünde ise yönetim kurulunun bir diğer önemli görev ve yetkisi olan temsil yetkisi yer almaktadır. Bu bölümde temsil yetkisinin sınırlandırılması, devri, devrin şartları ve devrin sonuçları açıklanmaya çalışılmıştır. Ayrıca ticari hayatta önemli bir yere sahip ve temsil yetkisinin devrini ilgilendiren tacir yardımcılarına ilişkin önemli bilgiler yine son bölümde yer almaktadır.

Joint stock companies are managed and represented by the board of directors (Turkish Commercial Code Article 365). The board of directors is obliged to fulfill some of its duties and authorities as a board. In our thesis, all these issues are included separately. In the first section of our thesis, the duties and authorities of the board of directors are examined. This section begins by briefly discussing the distinctions between management and representation powers, which are frequently confused with one another. The primary focus under this section is non-delegable and indispensable duties and authorities of the board of directors. Undoubtedly, one of the most significant duties and authorities of the board of directors is the management authority. Therefore, the second section of our thesis delves into the transfer of management authority, delineating its aims, scope, conditions, and consequences. The final section of our thesis addresses another crucial duty and power of the board of directors: representation authority. It delves into the limitations, delegation, conditions, and consequences of representation authority. Additionally, pertinent information regarding merchant assistants, who play a pivotal role in commercial affairs, is provided in the final section.
