The default of the debtor in synallagmatic contracts is one of the fundamental impediments to performance that directly impact commercial life. The primary objective of this thesis is to examine, through a holistic approach, the claim for damages for non-performance (positive interest)—which protects the creditor's expectation interest in the event of the debtor's default—and the exercise of elective rights. In doing so, it aims to offer legal solutions for disputes arising in practice by taking into account the balance of interests. The first part examines the prerequisites for the occurrence and the general legal consequences of the debtor's default. In the second part, the procedure for the exercise of the creditor's elective rights is re-evaluated. Departing from classical legal doctrines, the declaration of the“waiver of subsequent performance”is examined separately from the notification of the right of election. In this context, it is argued that the statutory requirement to issue the declaration“without undue delay”applies exclusively to the waiver of performance. As one of the principal contributions of this study to the literature, the claim for damages for non-performance is analyzed within the framework of the doctrine of“elective concurrence”(elektive Konkurrenz). By establishing that this is not a formative right but rather a claim for damages that alters the content of the obligation, the creditor is granted the right—within the limits of the principle of good faith—to alter their choice and rescind the contract. Furthermore, the provision of Article 113 of the Turkish Code of Obligations, which regulates obligations to act and to refrain from acting, is emancipated from narrow doctrinal interpretations and conceptualized as a“third elective right”conditional upon the prerequisite of fault. In the final part, the focus is on the calculation of the positive interest. This chapter examines the heads of damage and addresses the distinctions concerning the types of performance. The difference theory and the exchange theory are analyzed, concluding that the creditor is entitled to a right of election between these two theories. Additionally, the assertion of claims for damages for non-performance in certain specific contractual relationships involving the debtor's default is investigated in this section, and perspectives on the calculation of damages are presented. Finally, the study addresses the grounds for reduction, which the judge may evaluate in equity within their discretionary power, as well as the statute of limitations for the claim for damages.
