This research determine the relationship between corporate governance and disclosure of material weakness over financial reporting in UK-based companies. This relationship is studied by using material weakness (MW) reported under Sarbanes-Oxley Section-404 and Section-302, deriving data on audit committee financial expertise from annual reports and member qualifications from their biographies. Our findings are lower liklihood of disclosing Section-404 and 302 material weakness (MW) is related with more audit committee members who have higher gualifications and more accounting and supervisory experience. As a result, board and audit committee structure is related with internal control quality.
