Özet
Ticari işletmeler, tacirler tarafından işletilir. Ancak ticari işletmelerin işlem hacimleri ve faaliyet alanları göz önüne alındığında, bazen bir tacirin ticari işletmedeki tüm işleri tek başına yapma imkânı olmayabilir. Bu nedenle, tacirler, ticari işletme kapsamında iş bölümüne giderek, bazı kişilerin emek ve mesailerinden yararlanırlar. Bu kişilere tacir yardımcısı denilmektedir. Bizim çalışmamızda ele aldığımız tacir yardımcıları, tacire bağlı olarak çalışan ve taciri temsil etme yetkisine sahip olan bağlı tacir yardımcılarıdır. Bağlı tacir yardımcıları, ticari işletmede yönetim ve temsil gibi yetkilere sahiptir. Söz konusu yetkilere sahip olan bağlı tacir yardımcılarının bu yetkilerini tacirin menfaatlerine uygun bir şekilde kullanması gerekmektedir. Ancak sahip oldukları yetkiler nedeniyle, zamanla tacire ait iş sırlarını öğrenen ve müşteri çevresini tanıyan bağlı tacir yardımcılarının, bu bilgileri tacirin menfaatine aykırı şekilde kullanma ihtimali de bulunmaktadır. Özellikle bu bilgileri kullanarak tacir ile rekabete girmeleri, tacirin menfaatlerinin zarar görmesine neden olacaktır. Bağlı tacir yardımcıları ile tacir arasındaki güven ilişkisini koruyacak ve tacirin zarar görme riskini azaltacak olan hukuki kurum ise, rekabet yasağıdır. Çalışmamızda bağlı tacir yardımcılarının rekabet yasağı, hem kanuni hem de sözleşmesel rekabet yasağı açısından incelenmiştir.

Commercial enterprises are run by the owners of the business. However, given all the volume and scope of their activities, the owners of the business may sometimes not be able to drive the enterprise by themselves. Therefore, the owners of the business exploit labor and time of some people within growing division of labor. These people are called“commercial representatives”. Commercial representatives examined as part of our work are connected to the owners of the business and have the ability to represent them. The commercial representatives have the capacity management and representation in commercial enterprises. It is necessary for them to use these skills in a manner appropriate to the interests of the owner of the business. However, because of the authority they have over the time, there is a possibility for commercial representatives who learned the trade secrets and that recognize the customer to use this information in a manner contrary to the interests of the owners of the business. Especially in case of rivalry, it will cause damage to the interests of the owners of the business using this information. Legal institution that protects the relationship of trust and that will reduce the risk of damage is prohibited competition. Prohibition of competition for commercial representatives were analyzed in this study in terms of legal and contractual prohibition.
