Özet
Escrow sözleşmesi, bir temel sözleşmeye ilişkin borçların teminat altına alınması amacıyla, bu sözleşme ile ilgili taşınırların veya maddi değeri olan diğer hakların, sözleşmeye göre üçüncü kişi konumunda olan tarafsız ve yansız bir escrow aracısı tarafından, sözleşmede belirlenen koşullar gerçekleşinceye kadar muhafaza edilmesi ile oluşur. Koşulların gerçekleşmesi ile escrow aracısı kendisine teslim edilen escrow konusunu sözleşmenin taraflarından birine geri vermeyi üstlenmektedir. Escrow sözleşmesi, TBK'da veya herhangi bir özel mevzuatta düzenlenmediği için isimsiz sözleşmeler sınıflandırması içerisinde yer alır. Escrow sözleşmesi, ülkemizde yeterince incelenmemiş olduğundan dolayı; escrow sözleşmesinin ayrıntılı olarak incelenmesi amaçlanmıştır. Bu amacı gerçekleştirebilmek için, çalışmanın birinci bölümünde escrow sözleşmesinin tanımı yapılmış ve hukuki niteliği incelenmiştir. Çalışmamızın birinci bölümü, escrow sözleşmesinin benzer sözleşmelerle karşılaştırılması ile ilgili açıklamalarla sona erdirilmiştir. Çalışmamızın ikinci bölümünde ise, geçerli bir escrow sözleşmesinin kurulabilmesi için bulunması gereken unsurlara ve sözleşmenin şekline ilişkin incelemeler yer almaktadır. Escrow sözleşmeleri teknolojinin gelişmesi ile geniş bir kullanım alanına ulaşmıştır. Bu nedenle escrow sözleşmelerinin türleri; teknoloji alanındaki escrow sözleşmeleri ve diğer escrow sözleşmeleri olmak üzere ikili bir ayrım yapılarak incelenmiştir. Çalışmamızın üçüncü bölümünde escrow sözleşmesinde yer alan tarafların borçları ayrıntılı olarak ele alınmıştır. Ayrıca bu bölümde escrow sözleşmesinin sözleşmenin sona ermesi de incelenmiştir. Sonuç kısmında ise çalışmamızda ulaşılan sonuçlardan toplu bir şekilde bahsedilmiştir.

Escrow agreement is an agreement used as a form of security where one or more parties in a transaction place or deposit something, usually property or other assets, with a neutral, disinterested third party until some specific conditions occurrence. With the occurence of the conditions, the escrow agent undertakes to return the property, which has been delivered to him, to one of the parties of the contract. Escrow agreement is an unnamed contract due to the fact that it is not regulated by the Law of Obligations or in the form of a special Act. Escrow agreements has not been sufficiently examined in our country; therefore, the aim of this study is to analyse and make a comprehensive study on the escrow agreements. In order to achieve our aim, in the first chapter we analyse the defition of escrow agreement and the legal status of the contract. The first chapter of our study concludes with explanations about the comprarision of escrow agreement with similar agreements. The second chapter of our study includes the elements that must be present, in order to establish a valid escrow agreement and examinations of the form of the contract. Escrow agreements have reached a wide range of use with the development of technology. For this reason, the types of escrow agreements; escrow agreements in the field of technology and other escrow agreements have been examined by making a distinction between them. Third chapter includes a detailed study of the obligations of the parties to the escrow agreements. Furthermore, the termination of the escrow agreements are examined in this chapter. In the conclusion, we have mentioned collectively the results of our study.
