Özet

Bu tez çalışmasında; ilk kez ABD'de uygulanmış olan escrow sözleşmesi incelenmiştir. Çalışmamızda öncelikle escrow sözleşmesinin tanımı, amacı, konusu, kuruluşu ve şekli hususunda bilgi verilmiştir. Daha sonra escrow sözleşmesi yoluyla ifası teminat altına alınabilecek sözleşmeler ve escrow sözleşmesinin görünüm biçimleri ele alınmıştır. Çalışmanın takip eden bölümünde, escrow sözleşmesinin hukuki niteliği tespit edilmiş, benzer sözleşmeler ile karşılaştırılması yapılmıştır. Ayrıca bu bölümde, escrow sözleşmesinin özellikleri ve sözleşmeye uygulanacak hükümler belirlenmiştir. Üçüncü bölümün sonunda escrow sözleşmesinin yorumlanması ve tamamlanmasına değinildikten sonra, çalışmanın dördüncü bölümünde, escrow sözleşmesinde tarafların hak ve borçları ile sözleşmenin sona ermesi ele alınmıştır.

In this thesis study; the escrow contract, which was implemented for the first time in the USA, was examined. In our study, first of all, information is given about the definition, purpose, subject, establishment and form of the escrow contract. Then, the contracts whose performance can be guaranteed through an escrow contract and the appearance of the escrow contract are discussed. In the following part of the study, the legal nature of the escrow contract was determined and compared with similar contracts. Additionally, in this section, the features of the escrow contract and the provisions applicable to the contract are determined. After mentioning the interpretation and completion of the escrow contract at the end of the third chapter, the rights and obligations of the parties in the escrow contract and the termination of the contract are discussed in the fourth chapter of the study.
