Özet
Şirketler topluluğunda hakim şirket yönetim kurulu üyesinin bilgi alma hakkı, topluluk raporu vasıtasıyla belirli konularda bilgi alma imkanı tanıyan bir haktır. Bu hak, topluluğun finansal ve malvarlıksal göstergelerinin elde edilmesini, bu sayede denetim ve gözetim yapılarak gerektiğinde önlem alınmasını ve kayıp mevcut ise bunun tespitini sağlamaktadır. Bu çalışmada, genel olarak bilgi alma hakkı, şirketler topluluğunun yapısı ve anonim şirketlerde hakim şirket yönetim kurulu üyesinin bilgi alma hakkı, hakkın işlevi, hukuki niteliği, kapsamı, sınırları incelenmiştir. Devamında ise hakkın kullanımı için hakim şirket yönetim kurulu üyesi tarafından başvurulabilecek yollar usul hukuku çerçevesinde ele alınmıştır. Başvurulabilecek hukuki yol, şirketler hukukunda yer alan bilgi alma hakkının özelliklerinden yararlanarak değerlendirilmiştir. Hakim şirket yönetim kurulu üyesinin bilgi alma hakkı, Türk hukukunda yeni bir düzenlemedir. Bu sebepledir ki, bu hakka konu topluluk raporunun ne şekilde hazırlanacağı, bilgi alma usulünün nasıl olacağı, bağlı şirketin bilgi vermekten kaçınma hakkının kapsamı ve hakim şirket tarafından bir eda davası açılıp açılamayacağı hususlarında açıklık bulunmamaktadır. Bu tezin amacı, hukuk literatüründe detaylı şekilde incelenmeyen bu konudaki eksikliklerin tespiti ile bu eksikliklerin hükmün amacına uygun şekilde tamamlanmasına yönelik hukuki çareler aramaktır.

In group of companies, the right to obtain information of the board members of the controlling company is a right that allows the board member to receive information on certain subjects via the group report. This right enables obtaining the financial and asset related indicators of the group of companies and allows precautions to be taken through audits and monitoring. It also determines the loss, if any exists. In this study, the right to obtain information, the structure of the group of companies and the right of controlling company board members to obtain information in joint-stock companies, the function of this right, its legal nature, scope and limits were examined. Afterwards, the methods that controlling company board members can employ for the execution of this right were examined within the context of the law of procedure. The legal procedures that can be employed was examined by drawing on the characteristics of the right to obtain information stated by the company law. There is no clarity on how the group report related to this right should be prepared, what the observances regarding information obtainment should be, the scope of the right of the affiliated company to avoid providing information, whether or not an action for performance by the controlling company can be filed. The aim of this thesis was to determine the deficiencies the legal literature that were not examined in detail and to seek legal remedies for the removal of these deficiencies in accordance with the purpose of the provision.
