Özet
BIST Kurumsal Yönetim Endeksine tabi şirketlerin kurumsal yönetim performanslarıyla hisse senedi getirileri arasındaki ilişkinin tespit edilmesinin amaçlandığı bu çalışma dört bölümden oluşmaktadır. Birinci bölümde kurumsal yönetim kavramı, kurumsal yönetim kavramının tarihsel gelişimi, Türkiye'de ve Dünya'da kurumsal yönetimin gelişim evreleri, OECD'nin kurumsal yönetim ilkeleri ve son olarak ülkemizdeki kurumsal yönetim düzenlemeleri hakkında geniş çaplı bilgiler verilmektedir. Çalışmanın ikinci bölümünde kurumsallaşma kavramı üzerinde durulmuş, eski ve yeni kurumsal kuram yaklaşımlarından bahsedilmiştir. Ayrıca bu bölümde kurumsallaşma düzeyini belirleyen unsurlarda açıklanmıştır. Yine ikinci bölümde sırasıyla kurumsallaşmayı engelleyen faktörler, kurumsallaşma süreci ve kurumsallaşma basamakları konuları kapsamlı bir şekilde izah edilmiştir. Üçüncü bölümde kurumsal yönetim endeksi kavramına değinilmiş, kurumsal yönetim endeksinin tanımı, amacı ve temel kuralları açıklanmıştır. Bu başlıklara ek olarak kurumsal yönetim derecelendirmesi ve kurumsal yönetim endeksinin firmalara sağladığı avantajlardan bahsedilmiştir. Dördüncü ve son bölümde ise ilk olarak literatür özeti sunulmuştur. Daha sonra Türkiye'de BIST Kurumsal Yönetim Endeksine tabi şirketlerin kurumsal yönetim performanslarıyla hisse senedi getirileri arasındaki ilişki 2010-2017 dönemi için panel veri analizleriyle test edilmiştir. Analiz sonuçları iyi kurumsal yönetimin hisse senedi getirileri üzerinde pozitif ve anlamlı etkisi olduğunu göstermiştir

This study, which aims to determine the relationship between corporate governance performances and stock returns of companies subject to the BIST Corporate Governance Index, consists of four parts. In the first part of corporate governance concept, historical development of the corporate governance concept development phases of corporate governance in Turkey and the world, the OECD principles of corporate governance and finally are given extensive information about the corporate governance arrangements in our country. In the second part of the work, the concept of institutionalization is emphasized, and the old and new institutional theory approaches are mentioned. It is also explained in the section that determines the level of institutionalization in this section. In the second part, the factors preventing the institutionalization, the institutionalization process and the steps of institutionalization are explained in detail. In the third part, the concept of corporate governance index is touched upon and the definition, purpose and basic rules of the corporate governance index are explained. In addition to these titles, the corporate governance rating and corporate governance index have been mentioned as advantages of the firm. In the fourth and last section, the literature summary is presented first. Then, the relationship between stock returns with the corporate governance performance of companies subject to the BIST Corporate Governance Index in Turkey tested with panel data for the 2010-2017 period. The results of the analysis show that good corporate governance has a positive and significant effect on stock returns.
