Özet
Ticari hayatın sürdürülebilirliği, küreselleşen rekabet ortamı ve teknolojik gelişmeler gibi sebepler şirketlerde yapısal değişiklik gereksinimini doğurmuştur. Şirketlerde yapısal değişiklik halleri, birleşme, bölünme ve tür değiştirme olarak kendini göstermektedir. Bu yapısal değişiklik hallerinin, şirketlerin aynı zamanda işyeri niteliğini haiz olması durumunda işçileri de etkileyeceği açıktır. Bu kapsamda işçilerin iş güvencesi ve işçilik alacaklarının korunması amacıyla mevzuatta çeşitli yasal düzenlemelere yer verilmiştir. Bu itibarla, çalışmamızda, şirketlerde yapısal değişiklikle gerçekleşen işyeri devri sonucunda işçilerin iş sözleşmelerinin akıbeti, mevzuattaki düzenlemeler ve mahkeme kararları dikkate alınarak incelenmiştir. Çalışmamızın birinci bölümünde genel olarak şirketlerdeki yapısal değişiklik halleri açıklanmış, ikinci bölümünde şirketlerdeki yapısal değişikliklerin işyeri devri ile ilişkisi değerlendirilmiş, üçüncü bölümünde ise şirketlerde yapısal değişiklikler nedeniyle işyeri devrinin iş sözleşmelerine etkisi ve sonuçları incelenmiştir.

Several factors such as sustainability requirements of the commercial life, globalization and rising competition, and technological developments are creating the need for the structural changes of the companies. The main forms of the structural changes of the companies are of mergers, divisions, and type conversions. It is obvious that these structural changes will also affect the employees in cases of transfers of business. In this context, legal regulations are established to protect the job security and claims of employees. Hence, in our study, the fate of the employment contracts as a consequence of the transfer of business arising from the structural changes of the companies are examined considering the regulations in Turkish legislation and the court decisions. In the first part of our study, the structural changes of the companies are outlined, while the relation of those changes with the transfer of business is reviewed together in the second part. Finally, in the third part, the effects and the consequences of the transfer of business on the employment contracts due to the structural changes of the companies are examined.
