Özet
Arsa payı karşılığı inşaat sözleşmeleri çift tipli karma nitelikteki sözleşmelerdendir. Sözleşme yüklenici ve arsa sahibi arasında akdedilmektedir. Sözleşme taraflarından yüklenici, sözleşmede belirlenen niteliklere sahip bina yapı inşa ederek bağımsız bölümleri belirlenen tarihte arsa sahibine teslim etmekle, arsa sahibi ise mülkiyetinde bulunan belirlenen arsa payını belirlenen tarihte yüklenicinin mülkiyetine geçirmekle yükümlüdür. Arsa sahibi, arsa payını yükleniciye farklı zaman aralıklarında devredebilir. Şöyle ki; işe henüz başlamamışken sözleşme imzalandığı tarihte veya daha sonra iş devam ederken parça parça yahut sözleşme sonunda bağımsız bölümlerin teslimi neticesinde devir gerçekleştirilebilir. Arsa payı karşılığı inşaat sözleşmesi bünyesinde eser sözleşmesi ve taşınmaz satım vaadi sözleşmesine ait unsurlar barındırmaktadır. Sözleşmenin geçerliliği için resmi şekil şartı gerekmektedir. Ayrıca sözleşme tapu kütüğüne şerh edilebilmektedir. Tez çalışmamızda günümüzde oldukça önemli bir yere sahip olan arsa payı karşılığı inşaat sözleşmelerinde yüklenicinin temerrüde düşmesi hali ve netice olarak sözleşmenin son bulma halleri ayrıntılı olarak incelenmiştir. İncelememizin daha anlaşılır olması için konuya ilişkin gerek doktrindeki görüşler gerekse yerleşik içtihatlar açıklanarak, ayrıntılı olarak tartışılmıştır.

Construction agreements in return for land share are double type mixed contracts. The agreement is concluded between the contractor and the land owner. The contractor is obliged to construct buildings with the qualifications specified in the agreement and to deliver the independent sections to the land owner on the specified date, and the land owner is the other contracting party is obliged to transfer the determined land share in his ownership to the contractor's property on the specified date. The land owner can transfer the land share to the contractor at different time intervals. Namely; the transfer may be carried out on the date of signing the agreement, when the work has not yet started, or later, while the work is in progress, or as a result of the delivery of the independent sections at the end of the agreement. The construction agreement in return for land share includes the elements of the contract of work and the preliminary contract for real estate sale. The requirement of formal form is required for the validity of the agreement. In addition, the agreement can be annotated in the land registry. In our thesis, the default of the contractor in the construction agreements in return for the land share, which occupies a very important place today, and the expiration of a contract as a result, are elaborated on. In order to make our review more understandable, both doctrinal views and established jurisprudence on the subject have been explained and discussed in detail.
