20th century brought forward the ideas that which further developed into the corporate governance literature we have today. Amongst such ideas, the separation of ownership and control in companies is perhaps the most prevalent, although not lacking any dissenting opinions. This line of research, developing into the contractarian theory of the firm forms the basis of corporate law in the AngloAmerican corporate law systems. The codes of good corporate governance, among which the U.K. Corporate Governance Code is arguably the most influential, are also widely used in Europe. Looking at the recent corporate collapses experienced by the U.K. such as the case of Carillon puts forward certain issues with the enforcement and application of the comply or explain based corporate governance codes and reveals the ongoing influence of the separation of ownership and control doctrine. For the prevention of further corporate collapses, the problems put forward by Berle and Means with regards to such separation need to be answered and a separate regulatory body with the appropriate enforcement and oversight powers needs to be instituted.
