Merger and Acquisition (M&A) deals have raised dramatically, both in number and value, across the world in the last decades. With the increasing number of these transactions, the number of disputes arising from M&A transactions has also naturally increased. The purpose of this dissertation is to examine the extent to which disputes arising from these transactions, which often cover large amounts, can be mitigated. Two key points need to be considered in order to facilitate disputes arising from the pre-signing and post-signing phases of an M&A deal. The first one is the precautions which need to be taken before the disputes arise; and the second one is the issue of which mechanism can best serve dispute resolution after disputes arise. In terms of the first consideration, the chronological phases of an M&A transaction have been examined in order to raise awareness among the parties to an M&A deal about this complicated process. Thus, it is believed that the number of disputes can be reduced before they arise by conducting this process better. Again, from the point of first consideration, the most common pre-signing and post-signing disputes arising from M&A transactions and the ways to avoid these disputes have been examined and assessed. Under the second consideration, due to the fact that the parties to an M&A deal generally prefer arbitration proceedings as a dispute resolution mechanism for these disputes, the role of arbitration has been analysed. Within this framework, the issue of why arbitration is generally chosen by the parties instead of litigation has been addressed. Finally, the areas to which the parties need to pay attention in order to maximise their benefits from arbitration have been evaluated.
