Özet
Türk Ticaret Kanunu'nun (TTK) m. 625/2 hükmünde belirli kararlar ve münferit sorunlar kavramlarına yer vermiştir. Ancak bu kavramların tanımını yapmamıştır. Buna ilişkin olarak hükmün gerekçesinde de herhangi bir açıklamaya yer verilmemiştir. Tezimiz kapsamında öncelikle hangi kararların genel kurul onayına tabi kılınabileceği incelenecektir. Bu kapsamda işlevler ayrılığı ilkesi temelindeki tartışmalara yer verildikten sonra TTK m. 625/2 kapsamında genel kurul onayına sunulabilecek kararların sınırı açıklanacaktır. Bir kararın genel kurul onayına tabi kılınmasının müdürlerin temsil yetkisine etkisinin olup olmayacağı sorusunu da cevaplandırmaya çalışacağız. TTK m. 625/2 hükmünün ikinci ve üçüncü cümlesinde sorumluluk hukuku bakımından oldukça fazla soru işareti yaratan düzenlemelere yer verilmiştir. Yönetimle ilgili kararların alınması sürecine dâhil olan ortakların sorumluluğu ile birlikte genel kurul onayının müdürlerin sorumluluğuna olan etkisi genel kurul onayı bağlamında en çok tartışılan hususların başında gelmektedir. Çalışmamızda TTK m. 625/2 kapsamındaki tartışmalı noktalara değinmek suretiyle hükmün uygulanmasına ışık tutmayı amaçladık. Ayrıca söz konusu hükmün gerekçede ifade edildiği üzere limited ortaklıklarda genel kurul ile müdürler arasındaki uyumu sağlamak için uygun bir hüküm olup olmadığı ile limited ortaklıklardaki gereksimlere cevap verip veremeyeceği hususunu ele almaya çalıştık.

Within the scope of thesis, which decisions can be subject to the approval of the general assembly is examined. Article 652 paragraph 2 of the Turkish Commercial Code (TCC) indicates the concepts of certain decisions and individual issues (spesific problems) without defining these concepts. In addition, no explanation was also given in the reasoning of the article. After giving place to the discussions on the basis of the principle of separation of functions, the limit of decisions that are allowed to be submitted to the approval of the general assembly pursuant to TCC article 625/2 is inspected. The thesis also tries to answer the question of whether subordinating a decision to the approval of the general assembly would have an effect on the representation authority of the managers. In the second and third sentences of the 625/2, provisions that create a lot of question marks in terms of liability law are included. The impact of the general assembly approval on the responsibility of the managers, together with the responsibility of the partners involved in the decision-making process regarding the management, is one of the most discussed issues in the context of the general assembly approval. The objective of the thesis is to shed light on the implementation of the provision by addressing the controversial points within the scope of 625/2. In addition, as stated in the reasoning, we tried to deal with the issue of whether there is an appropriate provision to ensure harmony between the general assembly and the managers in limited partnerships and whether it can meet the requirements in limited partnerships. Im Rahmen der Dissertation wird untersucht, welche Entscheide der Geschäftsführung unter einen Genehmigungsvorbehalt gemäs Art. 625 Abs. 2 des türkisches Handelsgesetzbuchs (TTK) gestellt werden können. Diese Norm greift in das im türkischen Recht der Kapitalgesellschaften herrschende Paritatsprinzip ein. In Art. 625 Abs. 2 TTK wurde die Begriffe“bestimmte Entscheide”und“einzelne Fragen”verwendet. Deshalb soll diese Begriffe definieren werden. Im ersten Teil der Arbeit, weshalb insbesondere die Grenzen eines Vorbehaltskatalogs erörtert werden. Besonders soll beantwortet werden, ob die unübertragbaren und unentziehbaren Aufgaben der Geschaftsführung in den Vorbehaltskatalog aufgenommen werden können. Auch die Frage, ob der Genehmigungsvorbehalt Aussenwirkung zeitigt, scheint wichtig zu sein. Außerdem befasst sich die Arbeit mit der Frage nach der Verantwortlichkeit der in den Entscheid- und Genehmigungsprozessen befassten Personen. Art. 625 Abs. 2 TTK wirft zahlreiche Fragen auf. In diesem Zusammenhang soll einerseits die Frage gestellt werden, ob einer Genehmigung die Wirkung einer Decharge oder einer Einwilligung zukommen könne. Anderenseits, ob und wann ein Gesellschafter im Rahmen von Art. 625 Abs. 2 TTK zum faktischen Organ wird. Das Ziel der Arbeit besteht darin, zu untersuchen, ob Art. 625 Abs. 2 TTK ein geeignetes Instrument zur Zusammenarbeit zwischen Gesellschafterversammlung und Geschäftsführung innerhalb des GmbH-Rechts darstellt, wie die in der Botschaft der Art. 625 genannt wurde.
