Özet
Çalışmanın hedefleri doğrultusunda kurumsal yönetim, bir işletmenin yönetim ve kontrol şeklini etkileyen süreçler, politikalar ve gelenekler dizisi olarak tanımlanmaktadır. Yapılan tanımdan yola çıkarak bu çalışma da kurumsal yönetim uygulamalarının firma değeri üzerindeki etkisine odaklanılmakta ve bu ilişkileri değerlendirmek için Etik Süreç Düşünce Modeli'nden (ESDM) yararlanılmaktadır. Buradan hareketle çalışmanın temel amacı; BİST-100'de faaliyet gösteren işletmelerin kurumsal yönetim uygulamalarının firma değeri üzerindeki etkilerini ESDM yardımıyla incelemektir. Bu amaç doğrultusunda çalışmada yer alan işletmelerin 2013-2022 yılları arasındaki verilerinden yararlanılmıştır. Çalışmada yönetim kurulu olarak yönetim kurulu boyutu ve toplantı sayısı, denetim komitesi olarak denetim komitesi boyutu ve toplantı sayısı, kurumsal yönetim notu olarak pay sahipleri, kamu aydınlatma, menfaat sahipleri ve yönetim kurulu notları kullanılmıştır. Ayrıca firma büyüklüğü olarak toplam varlıkların logaritması ve firma değeri olarak da Tobin'in Q'su finansal göstergelerine yer verilmiştir. Çalışmada küçük örneklemlerde çalışma imkanı tanımasının yanı sıra tek seferde birden çok regresyon analizini yapabilme özelliği sayesinde karmaşık modelleri analiz edebilme yeteneğine sahip olması nedeniyle Kısmi En Küçük Kareler Yöntemi (KEKK-YEM) tercih edilmiştir. Yapılan analizler sonucunda; yönetim kurulu, denetim komitesi ve kurumsal yönetim notu ile firma değeri arasında pozitif yönlü bir ilişki olduğu görülmüş ayrıca tüm bu ilişkilerde firma büyüklüğünün kısmi aracılık rolü olduğu belirlenmiştir.

In line with the objectives of the study, corporate governance is defined as the set of processes, policies and traditions that affect the way a business is managed and controlled. Based on the definition made, this study focuses on the impact of corporate governance practices on firm value and uses the Ethical Process Thinking Model (EPTM) to evaluate these relationships. From this point of view, the main purpose of the study is; To examine the effects of corporate governance practices of businesses operating in BIST-100 on firm value with the help of EPTM. For this purpose, the data of the companies included in the study between the years 2013-2022 were used. In the study, the size of the board of directors and the number of meetings as the board of directors, the size of the audit committee and the number of meetings as the audit committee, the shareholders, public disclosure, stakeholders and the board of directors notes as the corporate governance grade were used. In addition, the logarithm of total assets as firm size and Tobin's Q financial indicators as firm value are included. In the study, the Partial Least Squares Method (PLSM-SEM) was preferred due to its ability to analyze complex models thanks to its ability to perform multiple regression analyzes at once, as well as the opportunity to work in small samples. As a result of the analyzes made; It has been observed that there is a positive relationship between the board of directors, audit committee, corporate governance rating and firm value, and it has been determined that the size of the firm has a partial mediating role in all these relations.
