Özet
Kitle fonlaması, girişimci şirkete veya girişimcinin belirlediği bir projeye, belirsiz sayıda yatırımcının para vermek suretiyle karşılıklı veya karşılıksız olarak finansman sağladığı ve girişimci ile yatırımcının internet üzerinde faaliyet gösteren bir platform tarafından bir araya getirildiği bir finansman yöntemidir. Kitle fonlamasında; girişimci, yatırımcı ve platformun oluşturduğu üç taraflı bir hukukî ilişkiler zinciri mevcuttur. Kitle fonlaması, girişimci tarafından vaat edilen karşı edimin niteliğine göre temelde dört farklı türe ayrılır. Eğer girişimci tarafından vaat edilen bir karşı edim bulunmuyorsa, bağışa dayalı kitle fonlaması söz konusudur. Girişimci tarafından yatırım karşılığında bir ödül, diğer bir ifadeyle belirli bir malın teslimi veya belirli bir hizmetin yerine getirilmesi vaat ediliyorsa, ödüle dayalı kitle fonlaması mevcuttur. Yatırımcının, girişimcinin projesini girişimciye borç vermek suretiyle finanse ettiği model, borca dayalı kitle fonlaması olarak adlandırılır. Buna karşılık yatırımcının, girişimcinin projesini yahut doğrudan doğruya girişimci şirketi, girişimci şirkette pay sahibi olmak suretiyle finanse ettiği model, paya dayalı kitle fonlaması olarak adlandırılır. Kitle fonlaması sisteminin hukukî temelinde yer alan sözleşmelerden bir tanesi, kullanıcılar ile platform arasında kurulan ve çalışmamızın konusunu oluşturan platform sözleşmesidir. Platform sözleşmesi, kullanıcı ve platform arasında akdedilen ve hukukî niteliği itibariyle isimsiz ve karma bir sözleşmedir. Platform sözleşmesinin dört esaslı unsuru vardır. Bunlar; girişimci ve yatırımcının bir araya getirilmesi, bu faaliyetin internet üzerinde gerçekleştirilmesi, girişimci ve yatırımcı arasında iletişimin sağlanması ve nihayet tarafların anlaşmasıdır. Çalışmamızda tarafların platform sözleşmesinden doğan borçları, sözleşmenin sona ermesi ve nihayet sözleşmeden kaynaklanan uyuşmazlıkların hangi usulde çözüme kavuşturulacağı incelenmiştir. Bununla birlikte platform sözleşmelerinde platform tarafından tek taraflı olarak getirilen genel işlem koşulları ile ilgili ayrıntılı değerlendirmeler yapılmıştır.

Crowdfunding is a financing method in which an indefinite number of investors provide financing by giving money to a venture company or a project determined by the entrepreneur, and the entrepreneur and the investor are brought together by a platform operating on the internet. In crowdfunding, there is a tripartite chain of legal relations formed by the entrepreneur, the investor, and the platform. Crowdfunding is divided into four different types according to the nature of the counter performance promised by the entrepreneur. If there is no counter-action promised by the entrepreneur, donation-based crowdfunding is in question. Reward-based crowdfunding is where the entrepreneur promises a reward in return for investment, in other words the delivery of a particular good or the performance of a particular service. The model in which the investor finances the entrepreneur's project by lending to the entrepreneur is called debt-based crowdfunding. Finally, the model in which the investor finances the entrepreneur's project or company by owning a stake in the company is called share-based crowdfunding. One of the contracts that form the legal basis of the crowdfunding system is the platform contract, which is established between the users and the platform, and this is the subject of our work. The platform contract is an anonymous and hybrid contract concluded between the user and the platform in terms of its legal nature. The platform contract has four essential elements. These elements are, bringing together the entrepreneur and the investor, carrying out this activity on the internet, providing communication between the entrepreneur and the investor, and finally the agreement of the parties. In our study, the debts of the parties arising from the platform contract, the termination of the contract and finally the method in which the disputes arising from the contract will be resolved were examined. In addition, detailed evaluations were made about the general terms and conditions imposed unilaterally by the platform.
