Özet
Bu tez, Türkiye enerji sektöründe gerçekleşen birleşme ve devralmaların idari izin ve prosedürler çerçevesinde nasıl yürütüldüğünü incelemektedir. Enerji sektörü, ekonomik ve stratejik önemi nedeniyle çeşitli yasal düzenlemelere tabi olup enerji piyasasında gerçekleşen birleşme ve devralma işlemlerine, Enerji Piyasası Kanunları, Türk Ticaret Kanunu, Sermaye Piyasası Kanunu ve Rekabetin Korunması Hakkında Kanun gibi birçok yasal mevzuat hükmü uygulanmaktadır. Bu tezde, birleşme ve devralma işlemlerine ilişkin birden fazla mevzuat hükmünün uygulanması kapsamında enerji piyasasında faaliyet gösteren şirketlerin, birleşme ve devralma süreçlerinde uymaları gereken hukuki gereklilikler ve işlemin tescil edilmesi açısından Sermaye Piyasası Kurulu, Enerji Piyasası Düzenleme Kurumu ve Rekabet Kurumu'nun rolü detaylı olarak ele alınmaktadır. Tezde ayrıca, enerji sektöründeki birleşme ve devralmaların sektörel büyüme ve rekabet üzerindeki etkileri incelenmiş, özellikle idari kurumlar nezdinde gerçekleştirilmesi zorunlu olan idari izin ve prosedürlerin taraflar açısından yarattığı zorluklar üzerinde durulmuş ve farklı mevzuat hükümlerinin uygulanması açısından çözüm önerilerinde bulunulmuştur. Sonuç olarak, bu çalışma, Türkiye enerji sektöründe birleşme ve devralmaların hukuki ve idari boyutlarını analiz ederek, idari izin ve prosedürlerin iyileştirilmesine yönelik öneriler ortaya koymayı hedeflemektedir.

This thesis examines how mergers and acquisitions in the Turkey's energy sector are conducted within the framework of administrative permissions and procedures. The energy sector is subject to various legal regulations due to its economic and strategic importance, and many legal provisions such as the Energy Market Law, the Turkish Commercial Code, the Capital Market Law and the Competition Protection Law apply to merger and acquisition transactions in the energy market. This thesis provides a detailed discussion of the role of the Capital Markets Board, the Energy Market Regulatory Authority, and the Competition Authority with regard to the legal requirements and registration process that companies operating in the energy market must comply with in the context of mergers and acquisitions. The discussion encompasses the application of multiple legislative provisions concerning mergers and acquisitions. The thesis also examines the effects of mergers and acquisitions in the energy sector on sectoral growth and competition, focusing on the difficulties created for the parties by the administrative permissions and procedures that must be carried out before the administrative authorities. It also proposes solutions in terms of the implementation of different legislative provisions. In conclusion, the aim of this study is twofold: firstly, to analyse the legal and administrative aspects of mergers and acquisitions in the Turkish energy sector; and secondly, to propose recommendations for improving administrative permissions and procedures.
