Özet
Bayilik sözleşmesi, en geniş anlamıyla malların üreticiden nihai müşterilere ulaştırılması amacına hizmet eden, bütün unsurlarını içeren bir kanuni tanımı olmayan ancak uygulaması oldukça yaygın, kendine özgü yapısı olan (sui generis) bir isimsiz sözleşmedir. İsimsiz bir sözleşme olması dolayısıyla bayilik sözleşmesinin unsurlarını tespit ederek sözleşmeyi tanımlama görevini öğreti ve yargı üstlenmiştir. Yaygın kullanılan bütün isimsiz sözleşmeler gibi bayilik sözleşmesinden doğan uyuşmazlıkların da hakkaniyete en uygun şekilde giderilmesi için bu sözleşmenin öğreti tarafından incelenmesi ve değerlendirilmesi gerekmektedir. Bu doğrultuda, bayilik sözleşmesini incelediğimiz ve değerlendirdiğimiz bu çalışmamızda bayilik sözleşmesine genel bir ba-kış sunduktan sonra sözleşmenin hukuki niteliğini, özelliklerini ve konusunu kısaca ele aldık, sonrasında sözleşmenin çerçeve niteliğini ve unsurlarını tespit ettik. Çalış-mamızı yaparken hukuk merkezli ancak hâkim bir bakış açısıyla uygulamada bu sözleşmenin kullanım alanını, sözleşmenin ekonomik fonksiyonunu, tarafların bu sözleş-meyi akdetmedeki amaçlarını ve menfaatlerini göz önüne almaya gayret ettik.

In the broadest sense, the dealership contract is a sui generis innominate contract that serves the purpose of delivering the goods from the producer to the final customers, which does not have a legal definition that includes all its elements, though its application is quite widespread. Since it is an anonymous contract, the doctrine and the jurisprudence have undertaken the task of defining the dealership contract by determining its elements. In order to resolve the disputes arising from the dealership contract in the most equitable manner, it needs to be examined and evaluated by the doctrine. Accordingly, we have examined and evaluated the dealership contract in this study. After providing an overview on the dealership contract, we briefly discussed the legal nature, characteristics and subject matter of the contract, and then determined the framework nature and elements of it. While conducting our study, we tried to take into account the usage area of this contract in practice, the economic function of the contract, the purposes and interests of the parties in the execution of this contract with a law-centered but omniscient perspective.
