Özet
Kurumsal sürdürülebilirlik, sürdürülebilirliğin temel bir boyutunu oluşturur; çünkü sürdürülebilir kalkınmanın sağlanması büyük ölçüde sorumlu iş uygulamalarının benimsenmesine bağlıdır. Bu kavram, şirketlerin operasyonel faaliyetlerinin çevresel, sosyal ve ekonomik etkilerini dikkate almalarını ve finansal hedeflerini gerçekleştirirken, hem mevcut hem de gelecek nesillerin ihtiyaçlarını karşılama kapasitelerine saygı duymalarını gerektirir. Kurumsal sürdürülebilirlik yaklaşımı, etkilerin şeffaf bir biçimde raporlanmasını ve olumsuz dışsal etkilerin azaltılmasına yönelik çözümler geliştirilmesine dayanır; bu da Çevresel, Sosyal ve Yönetişim (ESG) konusunun önemini vurgular. ESG, günümüzde uygulayıcı aktörler, akademisyenler ve politika yapıcılar tarafından yalnızca firmaların kurumsal sürdürülebilirlik performansını değerlendirmek amacıyla değil, aynı zamanda kurumsal sosyal sorumluluk, sürdürülebilir finans, sosyal sorumluluk temelli yatırım gibi bağlamlarda da yaygın olarak kullanılmaktadır. ESG faktörleri, emisyon yönetimi, kaynak kullanımı, insan ve çalışan hakları, kurumsal sosyal sorumluluk stratejileri ve yönetişim uygulamaları gibi sürdürülebilirliğin temel alanlarında firmalara rehberlik sağlarken; ESG performansı firmaların bu alanlarda ne ölçüde etkili ve uyumlu bir şekilde faaliyet gösterdiğini yansıtır. Küresel ölçekte artan çevresel ve sosyo-ekonomik endişeler ile işletmelerden beklenen hesap verebilirlik ve şeffaflık taleplerinin güçlenmesi, ESG uygulamalarının öneminin her geçen gün daha da artmasına neden olmaktadır. Özellikle, önemli paydaş gruplarından biri olan yatırımcılar, daha dirençli finansal piyasaların oluşması ve toplumların sürdürülebilir kalkınmasının desteklenmesi için, yatırım kararlarında ESG kriterlerini daha fazla dikkate almaya teşvik edilmektedir. Bu yaklaşım sürdürülebilir finansın temelini oluşturur. ESG yaklaşımının pek çok paydaş grubu için artan önemi göz önüne alındığında, kurumsal sürdürülebilirlik performansının geliştirilmesinin şirketlere çeşitli avantajlar sağlaması beklenmektedir. Bu faydalar arasında marka itibarının iyileştirilmesi, operasyonel verimliliğin artırılması, sermaye kaynaklarına erişimin kolaylaşması, yasal ve finansal yaptırımlardan kaçınma, yetenekli iş gücünü çekme ve elde tutma becerisinin artması gibi unsurlar yer almaktadır. Sonuç olarak, ESG performansının geliştirilmesinin zamanla, finansal getirilere dönüşmesi mümkündür. Bununla birlite, ESG faktörleriyle uyum sağlamak ve kurumsal sürdürülebilirlik performansını güçlendirmek, şirketlerin bu alanlarda yatırım yapmasını gerektirir. Bu nedenle, yapılan yatırımlar ile elde edilen çıktıların dengesi, ESG performansının finansal performans üzerindeki net etkisini belirleyen temel unsur haline gelir. ESG performansının finansal performans üzerindeki etkisi literatürde kapsamlı bir şekilde ele alınmış ve çoğu çalışma bu ilişkinin olumlu olduğunu raporlamıştır. Ancak, olumsuz, nötr ve karışık sonuçlara ulaşan çalışmaların da bulunması, araştırma alanında genel bir uzlaşıya varılmasını zorlaştırmıştır. Ayrıca mevcut çalışmaların büyük bölümü sürdürülebilirlik uygulamalarının daha olgunlaşmış olduğu gelişmiş ekonomilere odaklanırken; sürdürülebilirlik dönüşüm sürecini hâlen sürdüren, küresel ekonomide önemli bir yere sahip gelişmekte olan ülkeler görece sınırlı biçimde incelenmiştir. Literatür ayrıca farklı ülke gruplarının karşılaştırıldığı çok uluslu araştırmaların yetersiz olduğunu göstermektedir. Bu doğrultuda, bu çalışmanın ilk amacı, Avrupa Birliği'ne üye olan gelişmekte olan ülkeler (AB-gelişmekte olan ülkeler) ve Türkiye'nin dahil olduğu gelişmekte olan ülkelerde, şirketlerin ESG performansının finansal performansı üzerindeki etkisini incelemektir. Ayrıca, AB'ye üye olan ve olmayan ülkeler arasındaki, sürdürülebilirlik çalışmalarının olgunluğundaki belirgin farklılıklar, değişiklik gösteren kurumsal çerçeveler ve bir yandan da yakın ekonomik ve politik bağlar göz önünde bulundurulduğunda, bu çalışma ESG performansının finansal performans üzerindeki etkisinin AB-gelişmekte olan ülkeler ve AB üyeliğine aday bir gelişmekte olan ülke olan Türkiye arasında değişiklik gösterip göstermediğini araştırmayı amaçlamaktadır. Bu çalışma, ESG performansının finansal performans üzerindeki etkisini incelerken yalnızca toplam ESG puanı değil; Çevresel, Sosyal ve Yönetişim bileşenlerinin etkisi de ayrı ayrı analiz etmektedir. Çünkü her bileşen finansal performansı farklı şekilde etkileyebilir ve etkileri toplam ESG performans puanı içinde doğru bir şekilde gözlemlenemeyebilir. Dolayısıyla bu araştırma, gelişmekte olan ekonomilerden oldukça detaylı ampirik kanıtlar sunarak, literatüre katkı sağlamayı amaçlamaktadır. Çalışma, AB-gelişmekte olan ülkeler (Çek Cumhuriyeti, Yunanistan, Macaristan, Polonya) ve Türkiye'de halka açık, finansal olmayan firmalara (sanayi, ulaştırma ve enerji sektörlerinde faaliyet gösteren) odaklanmaktadır. AB-gelişmekte olan ülkeler (Çek Cumhuriyeti, Yunanistan, Macaristan, Polonya, Romanya), objektif ve tutarlı bir seçim süreci sağlamak amacıyla üç sınıflandırma sistemi (MSCI, IMF ve FTSE Russell) birlikte incelenerek belirlenmiştir. Ancak, eksiksiz veriye sahip firmaların yokluğu nedeniyle Romanya'dan hiçbir firma çalışmaya dahil edilememiştir. Sonuç olarak, panel veri seti, 2019-2024 döneminde, 5 gelişmekte olan ülkede faaliyet gösteren, 77 finansal olmayan şirkete ait (40 Türkiye, 37 AB-gelişmekte olan ülkeler) toplam 462 firma-yıl gözlemden oluşturulmuştur. Finansal performansı ölçmek için muhasebe temelli göstergeler olan aktif kârlılığı (ROA) ve özkaynak kârlılığı (ROE); piyasa tabanlı finansal performans göstergesi olarak ise Tobin's Q kullanılmıştır. Analizde bağımlı değişkenler bu finansal göstergeler olup, bağımsız değişken olarak LSEG tarafından raporlanan, toplam ESG performansı ve Çevresel, Sosyal, Yönetişim bileşen puanları modellere dâhil edilmiştir. ESG verileri ve finansal veriler LSEG veri tabanından alınmıştır. Regresyon analizleri, firmalara özgü (varlık/ciro oranı, büyüklük, kaldıraç, risk) ve makroekonomik (kurumsal kalite, GSYH büyüme oranı) değişkenler açısından kontrol edilmiştir. Regresyon modelleri, toplam ESG puanının ve her bir ESG bileşenin ayrı ayrı ROA, ROE ve Tobin's Q üzerindeki etkisini analiz etmek için oluşturulmuştur. Ardından, modeller tüm örneklem grubuna, yalnız AB-gelişmekte olan ülkeler örneklem grubuna ve yalnız Türkiye örneklem grubuna sırayla uygulanmıştır. Regresyon sonuçları, ESG performansının etkisinin ülkelere, ESG bileşenlerine ve finansal performans göstergelerine değiştiğini göstermektedir. Tüm örneklem düzeyinde, toplam ESG ve Yönetişim performansı finansal performans üzerinde anlamlı bir etki göstermemektedir. Çevresel performansın, hem ROA hem de Tobin's Q üzerinde anlamlı pozitif etkileri gözlenmiştir. Buna karşılık, Sosyal performansın ROA üzerinde anlamlı bir negatif etkisi bulunurken; piyasa değerlemesini yansıtan Tobin's Q üzerindeki etkisi de negatif ancak istatiksel olarak anlamsız olarak gözlemlenmiştir. Ayrıca tüm örneklemde, Sosyal performans ROE üzerinde olumlu bir etki göstermektedir. Ülke özelinde yapılan analizlerde ise, toplam ESG performansının kârlılık üzerindeki istatistiksel olarak anlamsız etkisi AB-gelişmekte olan ülkeler ve Türkiye gözlem gruplarında da geçerliliğini korumaktadır. Ancak, toplam ESG performansı, AB-gelişmekte olan ülkeler grubunda piyasa değerlemesini önemli ölçüde olumsuz etkilemektedir. Analiz bir adım daha derinleştirildiğinde, toplam ESG performansının ülkeler bazında bileşenlerine ayrılması farklı örüntüler ortaya koymaktadır. Çevresel performansın ROA üzerindeki olumlu etkisi tüm örneklemde belirginken, AB-gelişmekte olan ülkeler ve Türkiye örneklemlerin gruplarında istatistiksel olarak güçlü değildir. Bu bileşenin, tüm örneklemdeki piyasa değerlemesi üzerindeki olumlu etkisi ise, Türkiye'de de gözlemlenmektedir. Bu sonuçlar, Çevresel performansın, başlangıç yatırım maliyetlerine rağmen varlık verimliliğinin artmasına önemli derecede katkıda bulunduğunu göstermektedir. Ayrıca, Türkiye'de, daha iyi Çevresel performans yatırımcılar tarafından büyük ölçüde kabul görmekte ve piyasa değerlemesinin iyileşmesine katkıda bulunmaktadır. Ancak, AB-gelişmekte olan ülkeler grubunda, Çevresel performansın etkisi istatistiksel olarak anlamsız kalmaktadır. Bulgular, özellikle AB ile ticarette, Sınırda Karbon Düzenleme Mekanizması (CBAM) ve Kurumsal Sürdürülebilirlik Raporlama Direktifi (CSRD) gibi düzenlemelerin etkisi de dikkate alındığında, çevresel faktörlerin finansal performansı geliştirmedeki kritik rolünü ortaya koymaktadır. Bu bulgular, özellikle Türkiye ve diğer AB üyesi olmayan gelişmekte olan ülkeler başta olmak üzere, gelişmekte olan piyasalar için değerli bir yol gösterici nitelik taşımaktadır. Sosyal bileşenin, tüm örneklemde gözlenen ROA ve Tobin's Q üzerindeki olumsuz etkisi, AB-gelişmekte olan ülkeler ve Türkiye'de de gözlemlenmektedir. Bulgular, Sosyal bileşenin gelişmekte olan ülkelerde bazı finansal performans göstergelerini kısıtlayan bir faktör olabileceğini göstermektedir. Bu bulgu, Sosyal bileşen ile ilgili uygulamaların kısa vadede maliyet yaratması ve olumlu sonuçlarının, bu çalışma dönemi kapsamında gözlemlenemeyecek şekilde, gecikmeli ortaya çıkmasıyla açıklanabilir. Yönetişim performansı, tüm örneklemde finansal performans üzerinde önemli bir etki göstermese de, AB-gelişmekte olan ülkeler grubunda daha iyi bir aktif karlılığı desteklemektedir. Bu bulgu, şeffaf, hesap verebilir ve verimli kaynak tahsisi ile yönetim uygulamaları aracılığıyla operasyonel verimliliği artırmada, güçlü Yönetişim performansının önemini vurgulamaktadır. Türkiye'de Yönetişim performansının karlılık üzerinde önemli bir etkisi gözlenmemiştir. Bu bulgu, Yönetişim uygulamalarının, çalışma dönemi içinde önemli bir kısa vadeli finansal getiri sağlamadan, uzun vadede fayda sağlayabileceğini düşündürmektedir. Öte yandan, Yönetişim performansı Türkiye'de piyasa değerlemesi, yani Tobin's Q üzerinde istatistiksel olarak anlamlı negatif bir etki gösterirken; AB-gelişmekte olan ülkeler grubunda istatistiksel olarak anlamsız bir etki göstermektedir. Yönetişim uygulamalarının, şeffaflığı sağlamak ve yatırımcı güvenini artırmadaki kritik rolü düşünüldüğünde, elde edilen bulgular ESG-finansal performans ilişkisinin beklenenden daha karmaşık bir yapıya sahip olduğunu göstermektedir. Bu karmaşıklık, ülke düzeyindeki Yönetişim kalitesi gibi diğer bağlamsal faktörlerden kaynaklanıyor olabilir. Çalışmanın bulgularına dayanarak, ESG performansının finansal performans üzerindeki etkisinin her bir ESG bileşeni için farklılık gösterdiği, sonucuna varılmıştır. Bu farklılık, yatırım düzeyi ile kısa ve uzun vadede elde edilen finansal getiriler arasındaki denge, finansal performans göstergelerinin niteliği, paydaşların farkındalığı ve her bir ESG bileşenine verdikleri tepki gibi çeşitli bağlamsal faktörlerden kaynaklanıyor olabilir. Dolayısıyla, ESG tek boyutlu bir kavram olarak ele alınmamalı; şirketler, stratejik önceliklerini ve bağlamsal koşulları dikkate alarak her bir bileşen için ayrı ESG stratejileri geliştirmelidir. Türkiye örneğinde Yönetişim bileşeninin karlılık üzerindeki istatistiksel olarak anlamsız ve piyasa değerlemesi üzerindeki negatif etkilerine rağmen, şirketlerin Yönetişim performanslarını güçlendirmeleri büyük önem taşımaktadır. Çünkü hesap verebilirlik ve şeffaflık, özellikle Türkiye gibi AB üyesi olmayan gelişmekte olan ekonomilerde, uzun vadeli değer yaratma ve sermaye kaynaklarına erişim açısından kritik bir rol oynamaktadır. Ek olarak, şirketlerin etkili bir ESG yönetim sistemi geliştirmeleri; maliyet verimliliğini artıracak, uzun vadeli faydaları maksimize edecek ve bu faydaların paydaşlara doğru şekilde aktarılmasını sağlayacak mekanizmalar oluşturması önerilmektedir.

Corporate sustainability constitutes a fundamental dimension of sustainability, as the achievement of sustainable development is highly dependent on the adoption of responsible business practices. Corporate sustainability requires firms to take into account the environmental, economic and social implications of their operational activities, and respect the capacity of present and future societies to fulfil their needs, while pursuing their financial objectives. This approach relies on disclosing impacts transparently and developing solutions for negative externalities, which highlights the relevance of Environmental, Social and governance (ESG) framework. ESG framework is widely applied by practitioners, academics and policy-makers not only to evaluate firms' corporate sustainability performance but also within the contexts of corporate social responsibility (CSR) and sustainable finance. While ESG factors provide guidance to firms on key focus areas for sustainability, such as emissions, resource usage, human and employee rights, CSR strategy, and management practices, the ESG performance reflects how effectively firms operate in alignment with these factors. The importance of ESG considerations has grown substantially as a result of the rising environmental and socio-economic concerns globally, as well as increasing stakeholder demands regarding businesses' accountability and transparency. Especially, investors, as one of the key stakeholder groups, are increasingly encouraged to consider ESG factors in their capital allocation processes to support more resilient financial markets and to contribute to the sustainable development of societies, reflecting the principles of sustainable finance. Given the rising importance of ESG for various stakeholder groups, improvements in corporate sustainability performance can provide several benefits to firms. These benefits include improved brand reputation, operational efficiency, access to capital funds, avoidance from legal and financial sanctions, ability to attract and retain talent, and more. As a result, ESG performance improvement may translate into financial advantages. However, aligning with ESG factors and improving corporate sustainability performance often require firms to invest in the ESG-related practices. Therefore, the balance between the investments and the positive outcomes determines the net impact of ESG performance on financial success. The question of whether ESG practices strengthen or constrain financial outcomes of firms has been widely researched and mostly reported as positive. However, the research area remains inconclusive due to the presence of several studies finding negative, neutral, and mixed results. Moreover, while the most studies focus on developed economies, where sustainability efforts are more mature, emerging countries, which are still progressing in sustainability efforts but playing a critical role for the global economic growth, have been underexplored. Furthermore, a need for more cross-country research that compares multiple countries with different characteristics is highlighted in the literature. In this context, the purpose of this thesis is to examine how ESG performance influence financial outcomes of firms in the emerging markets, including the emerging countries that are the members of European Union (EU-emerging countries) and Türkiye. In addition, given the prominent differences in the maturity of sustainability efforts in the EU and non-EU countries, the diverse institutional frameworks as well as close economic and political ties, this study aims to investigate whether the impact of ESG performance on financial performance varies across the EU-emerging countries and Türkiye, as a non-EU emerging country. The study focuses on both the overall ESG performance and the individual ESG pillars. Because, each pillar can affect financial performance differently and their impacts cannot be recognized properly within the overall ESG performance score. Hence, this study aims to contribute to the literature by providing empirical evidence from the emerging economies through a detailed cross-country analysis. The study specifically concentrates on the non-financial firms including industrial, transportation and energy firms, publicly listed in the EU-emerging countries (Czech Republic, Greece, Hungary, Poland) and Türkiye. The EU-emerging countries are identified by examining the three classification systems (MSCI, IMF and FTSE Russell), to ensure an objective and consistent selection process. Even though this approach recommends Romania as an emerging country, it could not be included due to the lack of complete data. As a result, the panel dataset is constructed with 462 observations from 77 non-financial firms across 5 emerging countries over the period 2019-2024. The general ESG performance and individual scores provided by LSEG are included in regression models as predictors of the dependent variables measuring financial performance. As for dependent variables, ROA, ROE and Tobin's Q are employed. The regression analyses were controlled for firm-specific (asset-to-turnover rate, size, leverage, risk) and macro-economic (Institutional quality, GDP growth rate) variables. The regression models were created to analyse the effect of the overall ESG score and the separate influence of individual pillars on ROA, ROE and Tobin's Q. Then, the models were applied sequentially to the full sample, to the EU-emerging countries and to Türkiye. The results demonstrate that the effects of ESG performance scores vary across the pillars, the countries and financial performance metrics. As for the full sample, while overall ESG and Governance performance scores are found insignificant for financial outcomes; Environmental performance leads to better financial performance, through ROA and Tobin's Q. In contrast, Social performance exerts a statistically meaningful negative effect on ROA and insignificant adverse impact on market value. Moreover, Social performance is associated with higher ROE in the full sample. As for the country-specific analyses, the insignificant influence of the overall ESG performance on profitability remains valid in the EU-emerging countries and in Türkiye. Yet, it significantly, negatively affects the market valuation in the EU-emerging markets. Taking a step further, when ESG is broken down into its pillars for the countries, different patterns appear. The favourable contribution of Environmental performance on ROA is statistically significant in the full sample, while it is not strong in the samples of the EU-emerging countries and Türkiye. The importance of this pillar for creating higher market value in the full sample is also observed in Türkiye. These results suggest that Environmental performance contributes to better asset efficiency, despite the initial investment costs. Moreover, better Environmental performance is highly recognized by investors and contributes to improved market valuation in Türkiye, while its impact remains insignificant in the EU-emerging countries. The findings provide valuable guidance for emerging markets, especially for Türkiye and other non-EU emerging countries, by highlighting the importance of Environmental factors to achieve financial success, particularly in light of the upcoming regulations on trade with the EU, such as CBAM and CSRD. The negative impact of Social pillar on ROA and Tobin's Q in the full sample is observed in Türkiye and in the EU-emerging countries, as well. The results indicate that Social performance may act as a restricting factor for some dimensions of financial performance in the emerging countries. This outcome can be attributed to short-term costs of Social pillar related practices, which outweigh their lagged positive outcomes during the study period. Even though Governance performance cannot be found critical for driving for financial outcomes in the full sample, it supports better profitability, through ROA, in the EU-emerging countries. This finding highlights the importance of having a weel-functioning Governance mechanism for operational efficiency through accountable, efficient and transparent resource allocation and management practices. In Türkiye, Governance performance shows no meaningful influence on profitability, suggesting that these practices may generate benefits over the long term without a material short-term financial return within the study period. Surprisingly, it leads to a decline in market valuation or Tobin's Q in Türkiye, and statistically insignificant effect within the EU-emerging countries. Given the importance of Governance practices for investor confidence through accountability and transparency, these results suggest a more complex dynamic in the ESG-financial performance relationship than expected. This complexity may stem from other contextual factors, such as country level Governance quality. Based on the findings of the study, we conclude that ESG performance has varying impacts on financial performance across the ESG pillars depending on the several contextual factors, such as the balance between the level of investment and benefits obtained in the short and long run, the nature of financial performance indicator, stakeholder awareness and their response to initiatives within each pillar. Hence, ESG should not be approached as a uniform concept; rather, firms should adopt tailored ESG strategies by considering the contextual factors for each pillar and their strategic priorities. Despite the statistically insignificant or even negative impacts of Governance in the case of Türkiye, firms are highly recommended to strengthen their Governance performance, as accountability and transparency play a critical role for the long-term value creation and access to capital funds, especially in the context of non-EU emerging markets. Furthermore, firms are recommended to establish an effective ESG management mechanism by seeking ways to improve cost efficiency, to maximize its positive outcomes, and to communicate the value of such efforts to stakeholders efficiently.
