ABSTRACT Caferova, Fergane, The Legal Status of Foreign Firms in Turkey and Azerbaijan, Master's Thesis, Advisor: Prof. Dr. Tuğrul Arat, JV-160 pages. Special Arrangements must be made for the foreigners since aliens in a certain country cannot be in the same status with the nationals of that country. The Law of Aliens provides for those arrangements. Turkish Law accepts equality as the governing principle regarding the status of aliens, and Article 16 of the Turkish Constitution as well as the bilateral and multilateral contracts ratified by Turkey provide for the instruments to that end It is of great importance to determine which jurisdiction the foreign firm belongs to. The Turkish Law takes“the administrative centre”as the basic criterion in determining the nationality of foreign firms. Turkey has permitted foreign firms to operate by opening branches, buying shares of a Turkish company or bringing in foreign capital. Foreign firms in Turkey are subject to relevant legislation regulating their field of work. For example, the legal status of the foreign insurance firms operating in Turkey is subject to the Insurance Control Act no.7397. The law clearly defines the qualifications, rights and responsibilities of foreign firms. Besides, the bilateral or multilateral agreements signed between Turkey and the state to which the foreign firm belongs are of great importance. The foregoing observation is also valid for banking, tourism, petroleum and mining sectors. The association agreement signed between Turkey and the prospective membership of Turkey to the EU also present another important dimension with regard to the legal status of foreign firms in Turkey.In defining the legal status of foreigners, the Azerbaijani law also takes the general principles of international law as the principal framework. Those firms whose administrative organs are situated outside Azerbaijan are considered as foreign firms. In Azerbaijan, a government decree no. 11 dated 11 January 1995 regulates the recognition and opening the branches and also agencies of foreign firms. In Azerbaijan too, the foreign firms are subject to the specific regulations in their field of work. For example, the foreign insurance companies are subject to the 1993 Act on Insurance, the foreign banks to the 1996 Act on Banking Activities, and foreign tourism firms to the 1999 Act on Tourism. The foreign petroleum companies are subject to the bilateral and multilateral international contracts to which the Republic of Azerbaijan is a party.
