Özet
Malvarlığı yönetim sözleşmelerinden biri ve bir sermaye piyasası faaliyeti olan portföy yöneticiliğini konu alan portföy yönetim sözleşmesi henüz ülkemiz mevzuatında kanun ile düzenlenmemiş bir sözleşme türü olup, konu ile ilgili hukukî düzenlemeler Sermaye Piyasası Kurulu tebliğlerinde öngörülmektedir. Ülkemiz uygulamasına yön veren ve konu ile ilgili düzenleyici kuruluş konumundaki Sermaye Piyasası Kurulu'nun tebliğleri ile öngörülen sistem içerisinde, portföy yöneticiliği faaliyeti `bireysel' ve `kurumsal' bazda ortaya çıkmaktadır. Bireysel portföy yönetiminde, bu hizmeti alan taraf ister gerçek kişi ister bir kurum olsun, bireysel portföyün portföy yönetim sözleşmesi çerçevesinde bir uzman kuruluş tarafından yönetilmesi gündeme gelmektedir. Portföyün kurumsal bazda yönetilmesinde ise, karşımıza kurumsal yatırımcılar olan yatırım fonları ve yatırım ortaklıkları çıkmakta olup, birçok ülke mevzuatında anılan müesseselerin yatırım yönetme faaliyetinde bulundukları ve bünyelerinde gerçekleştirdikleri bu faaliyetlerin adlandırma olarak portföy işletmeciliği olarak geçen bir kolektif portföy yönetimi olduğu kabul edilmektedir. Tez kapsamında ağırlıklı olarak portföy yönetimi faaliyetinin nasıl işlediği, ülkemiz uygulamasındaki görünüm biçimleri ile bunlara ilişkin tebliğ düzenlemeleri ve sözleşmenin hukukî niteliğinin belirlenmesine ilişkin konulara yer verilmiştir.

This study examines the portfolio management contract, which serves as the legal grounds for portfolio management activity, a capital market activity for management of both the individual and the corporate investor portfolios by the portfolio management companies, stockborokers and the banks that do not receive deposits within a system as stipulated by the comminuqués of the Capital Markets Board. The contract includes the power of attorney contract element relating to the management activity as well as improper depositing and/or storage relating to keeping the assets of the investor and commission contract elements relating to the purchase and sale of the assets. Within the scope of the contract signed, the elements included in the contract vary according to the manner of storage and the legal quality of the contract gets a different outlook within this framework. The authorized organizations have to receive the storage services from Takasbank (ISE Settlement and Custody Bank Inc.) and/or a portfolio storage organization. The structure of Takasbank, differentiates according to the assets containing equal rights and holding them homogenously and collectively, ensures the element pertaining to the storage contract to be integrated into portfolio management contract. The storage and purchase-sale brokerage activities included in the contract are carried out by Takasbank, portfolio storage organizations and broker organizations within the framework of a subdelegate relationship. It is proper to define this relation arising between the parties as subdelegation in terms of both the investor rights and the interests of the authorized corporation.
