Özet
“Limited Ortaklıkta Oy Hakkından Yoksunluk”başlıklı tezimizde, 6102 sayılı Türk Ticaret Kanunu'nun 619. maddesi ile hüküm altına alınmış bulunan, ortağın asgari oy hakkını dahi kullanamaması sonucunu doğuran oy hakkından yoksunluk düzenlemesinin incelenmesi hedeflenmiştir. Bu kapsamda, ilk bölümde oy hakkından yoksunluk kavramı açıklanmış, ikinci bölümde oy hakkından yoksunluk doğuran durumlar incelenmiştir. Üçüncü bölüm, oy hakkından yoksunluğun sonuçları ve etkilerine ayrılmıştır. Son olarak dördüncü bölümde ise yoksunluk hükümlerine aykırılığın olası görünüm biçimleri ile yaptırımı ele alınmıştır.

The purpose of this thesis is to analyze the Article 619 of the Turkish Commercial Code No. 6102. The article in question aims to regulate the exclusion of the right to vote, which even turns out to result in the prevention of the shareholders' minimum right to vote in limited liability companies. In this context, the first chapter covers the concept of the exclusion of the right to vote. The second chapter aims to scrutinize the conditions causing the exclusion of the right to vote. The third chapter covers the result and the effects of the exclusion of the right to vote concept. Lastly, in the fourth chapter the probable instances of the contradiction to Article 619 of the Turkish Commercial Code No. 6102 and its enforcement are dealt with respectively.
