Özet
Gelir paylaşımlı inşaat sözleşmesi; yüklenicinin, arsa sahibinin teslim edeceği arsa üzerinde bağımsız bölümler inşa etmeyi ve bunları pazarlayıp arsa sahibinin verdiği temsil yetkisine dayanarak üçüncü kişilere satmayı üstlenmesine karşılık, arsa sahibinin de yükleniciye, satış yetkisi vermeyi ve yapacağı bağımsız bölümlerin üçüncü kişilere satışından elde edilen geliri yüklenici ile paylaşmayı üstlendiği sözleşmedir. Gelir paylaşımlı inşaat sözleşmesi; eser, satış, vekâlet ve ortaklık sözleşmelerinin birer unsurundan oluşan isimsiz karma bir sözleşmedir. Arsa sahibi ile yüklenici arasında yapılan gelir paylaşımlı inşaat sözleşmesinin geçerliliği, özel hukuk kişileri, yani gerçek kişilerle özel hukuk tüzel kişileri arasında resmi şekle, kamu kurum ve kuruluşları arasında ya da taraflardan biri kamu kurum ve kuruluşu, diğer taraf özel hukuk kişisi olması durumunda yazılı şekle bağlıdır. Sözleşmenin tarafları yalnız kârı değil, tüm geliri paylaşmayı üstlenmektedir. Bu nedenle gelir paylaşımlı inşaat sözleşmesi, adi ortaklık sözleşmesi değildir. Bu sözleşmenin çeşitli türleri bulunmaktadır. Bunlardan birinde yüklenici, arsa sahibine asgari gelir vaadinde bulunur. Sözleşmede bu yükümlülüğün bulunması ile yüklenici, riskin büyük bölümünü yüklenir. Arsa payı karşılığı inşaat sözleşmesinin aksine bu sözleşmede taraflar, bağımsız bölümlerin mülkiyetini paylaşmazlar. Taraflar yalnızca bağımsız bölümlerin satışından elde edilen gelirleri paylaşmayı üstlenirler.

According to revenue sharing based construction contract, the contractor undertakes to build the building that has the independent sections and to mediate for establishing the sales agreement with third parties. Meanwhile the landowner makes a commitment to transfer the owned land to third party who will be found by contractor and commits to share obtained revenue with contractor. Revenue sharing based construction contract is a mixed contract which consists of the components of the work, sales, real estate brokering and partnership agreements. There is no requirement of written form for revenue sharing based construction contract. The validity of the revenue sharing construction contract between the land owner and the contractor depends on the formal form between private law persons, i.e. natural persons and private legal entities, and the written form among public institutions and organizations. There are different opinions in opposite direction about requirement of written form for that contract. Contracting parties share the gross revenue but not the profit and also there is not a profit and loss partnership relationship between them. That's why that contract is not regarded an ordinary partnership contract. There are different types of this contract. One of them, the contractor gets into debt to the landowner a minimum income. The presence of this obligation in the contract, contractor takes the risks of contract to a large extent. However the presence of this obligation is commonly seen almost in every contract in practice. Unlike the construction contract for land share contract, the parties do not share the ownership of independent sections in that contract. Contracting parties share only thing that is revenue of gained from sales of independent sections.
