Özet
Kayıtlı sermaye sistemi, anonim ortaklıklarda yönetim kuruluna, ortaklığın sermayesini artırma yetkisini tanıyan sermaye sistemidir. Türk Hukukunda esnek bir sermaye sistemi arayışı neticesinde kayıtlı sermaye sistemi kabul edilmiştir. Bu sermaye sisteminin işleyişinin izahı ve mezkûr sistemi daha esnek hale getirmek için yapılması gerekenlere ilişkin görüş bildirmek bu tezin başlıca amacıdır. Kayıtlı sermaye sistemi, hem Sermaye Piyasası Mevzuatı hem de Türk Ticaret Kanunu mevzuatı kapsamında incelenmiş ve görüşler de bu doğrultuda ortaya koyulmuştur.

The registered (authorized) capital system is the system that gives the board of directors in joint stock companies the authority to increase the capital of the company. As a result of the search for a flexible capital system in the Turkish Law, the registered capital system was adopted. The main purpose of this thesis is to elucidation of the functioning of this capital system and analyze what needs to be done to make the system more flexible. In our study, the system was examined within the scope of both the Turkish Capital Markets Legislation and the Turkish Commercial Code Legislation and according to this opinions were expressed.
