Özet
İfa her borcun amacı ve yaşam anlamıdır. Tüm borçlar, borçlunun edimini gereği gibi ifa etmesi, alacaklının da alması gereken edime ulaşması hedeflenerek kurulur. Bu sebeple ifa edilen borç amacına ulaşmış sayılır. Bu andan itibaren borcun amacı yerine getirildiği için borç ömrünü tamamlar ve sona erer. Zira artık herhangi bir işlevi kalmamıştır. Sona eren borcun ardından yalnızca alacaklının ifa sebebiyle aldığı edimi elinde nihai olarak tutmasını ve ediminin sebepsiz zenginleşmeye dayanılarak tasfiye edilmesini engelleyen hatırası kalır. TBK m. 131 hükmünde de kanun koyucu, bir borcun olağan sona erme biçimini ifa olarak belirtmiş ve borcun ifa dışında başka sebeplerle de sona erebileceğini ifade ederek devamındaki maddeleri düzenlemiştir. Çalışmanın başlığından anlaşılabileceği gibi odak noktamız olan meselelerden ilki ifa ikamesidir. Bu sebeple“ifa ikamesi”kavramının tanımına ve unsurlarına ulaşmak, ardından ifa ikamesi niteliği gösteren hukuki kurumları saptamak önem arz etmektedir. Tezde ifa ikamesinin ne olduğunun tespit edilebilmesi için tümdengelim metodu izlenmiş ve ilk olarak özel hukukun en çok başvurulan kavramlarından biri olan ifa kavramının hukuki niteliğini tespit etmek gereği duyulmuştur. Borçlar hukukunun bu popüler kavramı, hukukçular tarafından sıklıkla kullanılsa dahi bu kavramın hukuki niteliğine ilişkin tartışmalar ve bu konuda öğretide ileri sürülen kuramlar Türk-İsviçre hukukuna nispeten yabancıdır. İfanın hukuki niteliğine ilişkin kuramlar genellikle Alman hukukunda geliştirilmiştir. Genel olarak bahsetmek gerekirse ifanın hukuki niteliğini açıklamaya çalışan teoriler üç başlık altında tasnif edilebilir. İlk başlıkta anlaşma teorileri, ikinci başlıkta ifanın tek taraflı sübjektif hukuki niteliğini ele alan teoriler son başlıkta ise maddi fiil teorisi yer alır. Alman öğretisinde anlaşma teorileri neredeyse tamamen etkisini yitirmiş ve terk edilmiş durumdayken Türk-İsviçre hukukunda hâkim teori, anlaşma teorilerinden biri olan sınırlı sözleşme teorisidir. Ancak elde edilen veriler ve tezde sunulan gerekçelerle anlaşma teorilerinin kabulüne imkân olmadığı gerçeği fark edilmiş ve çalışmada açıklanan sebeplerle tezde amaçsal ifa teorisi benimsenmiştir. Bu teoriye göre, borçlu taraf edimini alacaklının katılımı olmaksızın tek taraflı bir biçimde ifa edebilir. Ayrıca ifanın objektif ve sübjektif iki unsuru bulunur. Objektif unsur borçlunun, borçlandığı edimi gereği gibi ifa etmesiyken sübjektif unsur da ifayı gerçekleştiren borçlunun bir itfa belirlemesi yaparak yerine getirdiği edim ile borcu arasında bağlantı kurması gerekliliğidir. Bahsedilen bu itfa belirlemesi, varması gereken bir hukuki işlem benzeri fiildir. İfanın hukuki niteliğinin tespitinin ardından ifa ikamesinin tanımı ve unsurlarına ulaşmak mümkündür. İfa ikamesi olarak tespit edilecek kurumlar ifanın işlevini tıpkı onun gibi yerine getirmeli ve bunu ifanın hukuki niteliğine uygun olarak gerçekleştirmelidir. Bu kapsamda ifanın çift taraflı işlevine uygun olarak bir ifa ikamesi, borcu sona erdirmeli, alacaklının ifa menfaatini tatmin etmeli ve benimsediğimiz amaçsal ifa teorisi uyarınca, alacaklının katılımı olmaksızın borçlunun yapacağı tek taraflı bir itfa belirlemesiyle gerçekleştirilebilmelidir. Sayılan bu özelliklerin her birini taşıyan takas ve tevdi kurumları birer ifa ikamesidir. Ancak öğretide ifa ikamesi olarak sayılan pek çok kurum, bahsedilen unsurların hepsini taşımadığı için teorik anlamda birer ifa ikamesi değildir. Dar anlamda borcu sona erdiren bütün sebepleri veya edimin değiştirilerek alacaklıya onun rızasıyla bir ikame edim sağlanan tüm durumları,“ifa ikamesi”olarak adlandırmak, bu kavramın içini boşaltmakta, anlamını flulaştırmakta ve dolayısıyla kullanımını anlamsız hale getirmektedir. İfa ikamesi kavramı, alacaklının sözleşmede kararlaştırılan menfaatinin olağan şekilde borcun ifa edilmesi yolunun dışında ve alacaklının kararlaştırılan edimi almasıyla karşılandığı sona erme sebepleriyle sınırlı tutulmalıdır. İfa karineleri ise kanun koyucunun, TBK m. 103 ila 105 arasında makbuz ve senedin iadesine bağladığı sonuçlardan ibarettir. Türk hukukundaki genel ispat yükü kuralı gereği, borcun ifa edildiğini borçlu ispat etmelidir. Borçlunun ispat etmesi gerekenler bununla da sınırlı değildir. Borçlu tam ve doğru bir biçimde, gereği gibi ifayı gerçekleştirdiğini de ispatlamalıdır. Borçlu bahsedilen bu ispat faaliyetini gerçekleştiremediği ihtimalde maddi anlamda gereği gibi ifa ederek kurtulduğu borcunu yeniden ifa etme rizikosuyla karşı karşıyadır. İşte kanun koyucu tam olarak bu tehlikenin önüne geçmek maksadıyla Borçlar Kanunu'na, maddi hukuk anlamında bir etkisi olmayan, yalnızca ispat tekniği açısından hüküm ve sonuçlar doğuran birtakım karineler ekleyerek borçlunun ifayı ispatlamasını kolaylaştırmak istemiştir. Bu kapsamda TBK'da, borcunu ödeyen borçluya, makbuz düzenlenmesini ve varsa borca ilişkin düzenlenmiş borç senedinin geri verilmesini talep etme hakkı tanınmıştır. Düzenlenen makbuz, üzerinde belirtilen borcun sona erdiği; dönemsel edimlerde önceki döneme ait edimlerin de ifa edildiği; anaparanın tamamı için verildiğinde, faizlerin de alınmış sayıldığı yönünde karinelerin ortaya çıkmasını sağlar. Ayrıca alacaklının bir edimi, hiçbir çekince ileri sürmeden ifa olarak kabul edip daha sonradan bu edimin ayıplı veya aliud olduğunu ileri sürmesi durumunda ispat yükünün ters çevrildiği kabul edilmektedir. Senedin geri verilmesi ise borcun sona erdiği karinesini doğurur. Kanun koyucu, alacaklının, düzenlenen borç senedini kaybettiğini iddia ederek geri vermekten kaçınması durumunu da göz önünde bulundurmuştur. Bu durumda, borçlu, borç senedinin iptalini ve borcun sona erdiğini gösteren resmi veya usulüne uygun onaylanmış bir belgeyi talep etme hakkına sahiptir.

Performance (fulfillment) constitutes the ultimate objective and the reason for being of every obligation. All obligations are established with the aim of the debtor performing the act duly and the creditor attaining the specific benefit to which they are entitled. Consequently, a performed obligation is deemed to have achieved its purpose. From this moment forth, the obligation completes its lifespan and is extinguished, as it no longer serves any functional role. Following the termination of the obligation, only the“memory”of the performance remains; this prevents the creditor's final retention of the received act from being liquidated as unjust enrichment. In Article 131 of the Turkish Code of Obligations (TCO), the legislator defines performance as the ordinary mode of discharge, subsequently regulating other grounds for the extinction of obligations. As indicated by the title of this study, our primary focus is the concept of substitutes of performance. Therefore, it is essential to define the concept, identify its elements, and determine the legal instruments that exhibit the characteristics of a substitute of performance. To ascertain the nature of performance substitutes, this thesis adopts a deductive methodology, necessitating an initial determination of the legal nature of“performance”itself, one of the most frequently invoked concepts in private law. Although this popular concept is widely used by practitioners, debates regarding its legal nature and the theories proposed in the literature remain relatively foreign to the Turkish-Swiss legal sphere. These theories have predominantly been developed within German legal scholarship. Generally, theories explaining the legal nature of performance can be classified into three categories: contract theories, theories addressing the unilateral subjective legal nature of performance, and the material act theory. While contract theories have almost entirely lost their influence and been abandoned in German scholarship, the limited contract theory remains the dominant view in Turkish-Swiss law. However, based on the data obtained and the justifications presented in this thesis, it is argued that contract theories are untenable; consequently, the theory of purposeful performance has been adopted. According to this theory, the debtor can perform the obligation unilaterally without the creditor's participation. Furthermore, performance consists of two elements: an objective element, which is the due fulfillment of the debt, and a subjective element, which requires the debtor to establish a link between the act performed and the specific debt through a designation of discharge (itfa belirlemesi). This designation is a quasi-legal act (hukuki işlem benzeri fiil) that must be communicated to the recipient. Once the legal nature of performance is established, it becomes possible to define the substitutes of performance. Instruments identified as substitutes must fulfill the function of performance in the same manner and in accordance with its legal nature. In this context, a substitute of performance must extinguish the debt, satisfy the creditor's interest in performance, and—pursuant to the adopted Theory of Purposeful Performance—be achievable through a unilateral designation by the debtor without the creditor's participation. Consequently, the institutions of set-off and deposit are considered substitutes of performance, as they possess each of these characteristics. Conversely, many instruments cited as performance substitutes in the literature do not qualify as such in a theoretical sense, as they lack one or more of these elements. Labeling all grounds for discharge or all instances where an alternative act is provided with the creditor's consent as“substitutes of performance”dilutes the concept, blurs its definition, and renders its usage meaningless. The concept of substitutes for performance should be limited to the causes of termination where the creditor's interest, as agreed in the contract, is satisfied through means other than the ordinary performance of the debt and by the creditor receiving the agreed-upon performance. Finally, presumptions of performance consist of the consequences the legislator attaches to receipts and the return of borrower's note under Articles 103 to 105 of the TCO. Under the general rule of the burden of proof in Turkish law, the debtor must prove that the debt has been performed. This burden is not limited to the act of payment; the debtor must also prove that performance was complete, accurate, and duly rendered. Should the debtor fail to meet this evidentiary requirement, they face the risk of re-performing a debt from which they were materially discharged. To prevent this risk, the legislator has introduced certain presumptions in the Code of Obligations that facilitate the proof of performance. These presumptions do not have a material legal effect but serve as evidentiary techniques. In this regard, a debtor who pays the debt is entitled to demand a receipt and the return of the borrower's note, if any. A receipt creates a presumption that the specific debt has been discharged; in the case of periodic payments, that previous installments have been paid; and when given for the principal, that the interest has also been received. Furthermore, if a creditor accepts an act as performance without any reservation and later claims that the act was defective or an aliud (a different thing), it is accepted that the burden of proof is reversed. The return of the borrower's note creates a presumption that the debt is extinguished. The legislator also accounts for situations where the creditor avoids returning the borrower's note by claiming it has been lost; in such cases, the debtor has the right to demand a formal or duly certified document declaring the cancellation of the instrument and the discharge of the debt.
