Özet
Bu çalışma, Milletlerarası Mal Satımına İlişkin Sözleşmeler Hakkında Birleşmiş Milletler Antlaşması'na (CISG) göre satıcının sözleşmeyi esaslı ihlali konusunun araştırılması amaçlıdır. Bu kapsamda satıcının esaslı ihlal halleri ve sonuçları doktrinde ileri sürülen görüşler ve somut ihtilaflardaki görünüm şekilleri ile CISG'de öngörülen sistem ve içtihat hukuku paralelinde ele alınmıştır. Böylece, satıcının sözleşmeye esaslı aykırılık unsurlarının irdelenmesiyle ortaya çıkan, sözleşme taraflarınca uygulama sürecindeki sözleşme ve şartlarının tanzimi ve akdi aşamasından malların ve belgelerin alıcı tarafından teslim alınması, kabulü ve satıcıya ödemenin ifasına kadar olan tüm safhalarda, taraflarca özen gösterilmesi gereken hususlar, örneklerle sunulmuştur. Bu kapsamda CISG ve TBK düzenlemeleri ve uygulamalarının, çalışmanın çerçevesi ile sınırlı, benzerlik ve farklılıkla ortaya konulmuştur. Bu suretle, özellikle Türkiye'deki paydaşların (satıcılar, alıcılar, kanun koyucular ve hukuk insanlarının) Antlaşmaya uyum sağlanması yönündeki çaba ve girişimlerine destek verilmiş olacağı ve Türkiye'nin yeknesak uluslararası ticaret rejimine daha güçlü entegrasyonuna katkı sağlanacağı ümit edilmektedir.

This study aims to examine the issue of a seller's fundamental breach of contract according to the United Nations Convention on Contracts for the International Sale of Goods (CISG). In this context, the seller's fundamental breach and its consequences are examined in light of the views put forward in legal doctrine, their manifestations in specific disputes, and in alignment with the system stipulated in the CISG and the case law. Thus, the aspects that the relative parties should pay attention to in all stages of the contract, from the drafting and formation of the contract and its terms to the delivery and acceptance of the goods and documents by the buyer and the payment to the seller, are presented with examples. In this context, the similarities and differences between the CISG and the Turkish Code of Obligations regulations and their applications are presented within the scope of this study. In this way, it is hoped that the efforts and initiatives of stakeholders, especially in Turkey (sellers, buyers, legislators and legal professionals), towards compliance with the Agreement will be supported, and that this will contribute to Turkey's stronger integration into the uniform international trade regime.
