Özet
ÖZET Araçları, kurumlan ve kuralları ile iyi gelişmiş bir sermaye piyasası, bir ülkenin ekonomik kalkınması açısından önemli bir itici güç oluşturmaktadır. Türkiye'de sermaye piyasası son onbeş yılda büyük bir hızla gelişmiştir. 1980'li yıllarda serbest piyasa ekonomisine geçilmesi ve ekonominin dışa açılması ile eşzamanlı olarak, Sermaye Piyasası Kurulu'nun kurulması, Sermaye Piyasası Kanunu'nun çıkarılması ve İstanbul Menkul Kıymetler Borsası'nın faaliyete geçmesi ile başlayan gelişme, özellikle 1990 yılından sonra gerçekleşen artan sayıdaki halka arzlarla hızlanmıştır. Türkiye'deki anonim şirketlerin hisse senetlerinin halka arzı, Sermaye Piyasası Kanunu ve Sermaye Piyasası Kurulu tebliğlerinin oluşturduğu yasal çerçeve içerisinde gerçekleşmektedir. Halka arz edilecek hisse senetlerinin Sermaye Piyasası Kurulu kaydına alınması zorunludur. Halka arz edilen hisse senetlerinin satışı, sabit fiyatla talep toplama, fiyat teklifi alma yolu ile talep toplama veya borsada satış yöntemlerinden biri ile gerçekleştirilir. Türkiye'de gerçekleştirilen halka arzlarda en çok kullanılan hisse senedi fiyatı tespiti yöntemleri piyasa değeri/defter değeri oram yöntemi ve fiyat/kazanç oranı yöntemleridir. VI

SUMMARY A well developed financial market of a country with its regulations, infrastructures and subdivisions constitues an important driving force in terms of its economical developments. The financial market of Turkey has grown up rapidly during the last 15- year period. This improvement, initiated with the realisation of Council of Financial Market, issuing the act of Financial Market and establishing Istanbul Stock Market, has gained a considerable speed specifically after starting to sell the stock exchange shares to the public of 1990. In fact this trend is result of shifting to free market policy and foreingn trade initiatives in 1980's. In Turkey, the supply of stock shares of union companies to the public occures in accordance with the terms of Act of Financial Market and regulations of Council of Financial Market. It is compulsory to register the stock shares that will be supplied to the public, under the authority of The Council of Financial Market. The transaction of stock shares to the public is performed by means of the following schemes, fixed price, variable price or selling at the stock market. There are two most common methods of price setting of stock shares in Turkey. One of them considers to ratio of market to record value and the being the ratio of price to profit.
