Özet

ÖZET: Değere Dayalı Yönetim ve Uygulanabilirliği Üzerine Bir Model Çalışması Bu çalışmada değere dayalı yönetim, hissedarlar açısından firma değerini maksimum yapmak amacını temel olarak alan ve bu bağlamda bir fınansal ölçüm temelinde çeşitli finansal, organizasyona! ve yapısal yeniden yapılanmayı gerektiren bir yönetim biçimi olarak ele alınmıştır. Çalışmanın amacı değere dayalı yönetimi genel bir çerçeveden incelemek, bu yönetim biçiminin yönetsel ve finansal boyutunu irdelemek ve bu bağlamda genel bir değere dayalı yönetim modeli ve bu modelin ne ölçüde uygulanabilir olduğunu belirlemektir. Bu amaca uygun olarak, çalışmada değere dayalı yönetim kavramının tanımına ve kavramın irdelenmesine yer verilmiştir. Öte yandan değer yaratan unsurlar incelenmiş ve firma değerine olan katkıları anlatılmıştır. Ayrıca çeşitli finansal uygulamaların değer yaratma potansiyellerine de değinilmiştir. Diğer taraftan değere dayalı yönetim sisteminde kullanılan ve sistemin temelini oluşturan çeşitli performans ölçüm metodları sıralanmış ve bunların içerisinde en önemli yeri tutan ekonomik katma değer (Economic value added-EVA) sistemi ayrıntılı olarak ele alınmıştır. Son olarak ise değere dayalı yönetim sistemini uygulamış ve başarılı olmuş olan Famet limited şirketi incelenmiş ve sistemi uygulanma aşamalarına değinilmiştir. Seçilen şirketin incelenmesinde karşılıklı görüşülerek bilgiler toplanmıştır. Bu bilgilerin bir kısmı şirketin doğrudan kendisi, diğer bir kısmı ise milli prodüktivite merkezinin şirkete sağladığı bilgilerden oluşmaktadır. Bu bilgiler incelendiğinde firmanın değer yaratma konusunda gelişme gösterdiği tespit edilmiştir. Değere dayalı yönetim sistemini etkin biçinmde uygulayan firmaların Dünya'da ve Türkiye'de olumlu sonuçlar elde ettikleridiğer firma örnekleri ile de gösterilmiştir, öte yandan önceki uygulama aksaklıkları ve deneyimlerinden yararlanılarak bu yönetim modelinin etkin ve verimli bir şekilde uygulanabilmesi için uygulanabilirliği arttırıcı önlemler sıralanmıştır.

SUMMARY: Value-Based Management And a Model Study On Its Applicability In this study, value-based management is regarded as a means of management, which aims at maximizing the value of the firm with respect to the shareholders and which, in this context, requires various financial, organizational and structural reconstruction on the basis of a financial measure. The aim of this study is to evaluate the value-based management from a wider perspective and to assess the managerial and financial aspects of this management method and in this context, to set forth a general value-based management model and applicability of this model. In accordance with this aim, definition of the concept of value-based management and analysis of this concept is included in this study. On the other hand, value-creating elements are inspected and their contribution to the value of the firm is explained. Furthermore, value-creation potential of various financial applications are mentioned. Many methods of performance measures, which are used in value-based management and which are the basis of the system, are listed and economic value added (EVA), being the most significant among them, is explained in detail. Lastly, the Famet limited company, which successfully used the value-based management system, is analyzed and the application stages of the system are stated. During the analysis of the selected company, information is gathered by means of bilateral meetings. Some of this information is provided directly from the company itself and some information is composed of the data provided to the company by the national productivity center. When this information is analyzed, it can be understood that the company has progressed in terms of value-creation. Some other examples are also provided as regards the positive results attained by the companies, which effectively apply the value-based management, in Turkey and all around the world. Furthermore, bytaking into consideration the previous application problems and experiences, some precautions that will increase the applicability level are listed so as to ensure the effective and productive implementation of this management model.
