Özet
Arsa payı karşılığı inşaat sözleşmesi Türk Borçlar Kanunu'nda özel olarak düzenlenmiş olan bir sözleşme tipi değildir. Türk Borçlar ICanunu'nda düzenlenmiş olan eser sözleşmesi ile taşınmaz satım sözleşmesinin unsurlarım barındıran karma nitelikli bir sözleşmedir. Arsa payı karşılığı inşaat sözleşmesinde sözleşmenin taraflarından arsa sahibi arsanın belirli paylarını müteahhide devretmek borcu altına girmekte, müteahhit ise arsa üzerine inşa edeceği binanın belirlenen bağımsız bölümlerini arsa sahibine teslim etme borcunu üstlenmektedir. Müteahhidin temerrüdünün ortaya çıkması üzerine, iş sahibi öncelikle inşaatın tamamlanarak teslimini ve gecikme nedeniyle uğradığı zararın tazminini talep edebilir. Bunun yanında ek süre vermek kaydıyla, inşaatın tamamlanmasından vazgeçerek, olumlu zararının tazminini veya sözleşmeden dönerek olumsuz zararının tazminini talep edebilir. İş sahibinin olumlu zararının tazmininin talep edilmesi durumunda iş sahibi, zararının değişim veya fark teorisine göre tazminini talep edebilir. Sözleşmeden dönme durumunda ise tarafların aldıklarını iade borçlan doğacaktır. Sözleşmeden dönme üzerine iş sahibi, yükleniciye devrettiği arsa paylannın kendi adına tescilini, açacağı tapu sicilinin düzeltilmesi davasıyla talep edebilir. Bu durumda yüklenici de, yaptığı işin bedelini, talep edebilir

Constmction Contract In Remııneratıon For Land Slıare is not a contract specifically regulated under the Code of Obligations. It is a mixed contract vvhich includes elements from Freeland Contract and Real Estate Sales Contract, vvhich are regulated under the Code of Obligations. In Construction Contract In Remuneration For Land Slıare, the owner of the real property is under the obligation to tura över lıis/her land shaıe to the contractor, wlıile the contractor undertakes the obligation to tura över the designated independent parts of the building constructed under tlıe contract. In case the default of the contractor is appeared, Fırstly the business ovvner can demand the completion and the concession of the construction and with the delay reason the payment of the damage. Moreover, provided giving extra period of time, the business ovvner can discard the completion of the construction and can demand the payment of the positive damage or can denounce the agreement and demand the negative damage. In case the business ovvner demand the positive damage, the business ovvner can demand the compensation according to the change or difference of the damage. In case the agreement is denounced, retum debts of the parties vvill appear. In case the agreement is denounce, the business ovvner can demand tlıe registration of tlıe land rates that vvas traıısferred to tlıe contractor in his name vvith the correction of he land registry registration case. In that case the contractor also demand the vale of the work done.
