Özet
Kurumsal yönetim; yönetim kurulu, pay sahipleri ve üst düzey yönetim arasında bulunan ilişkilerin düzenlenmesini sağlayan sistemdir. Örgütlerin gerçekleştirdiği kurumsal yönetim uygulamalarının başarıları değerlendirilirken, bölümler arasında bulunan ilişkilerin çerçevesi net bir şekilde ortaya konulur. Yönetim kurulu, pay sahipleriyle üst düzey yönetimin arasında bulunan ilişkileri oluşturan ve kurumsal yönetimin başarısında önemli sorumlulukları bulunan bir organdır. Bu çalışmada kurumsal yönetim kavramı detaylı bir şekilde ele alındıktan sonra bunun işletmenin piyasa değeri ile olan ilişkisi incelenmiştir. Araştırmadan çıkan sonuçlara göre kurumsal yönetim ile piyasa değeri arasında bir ilişki bulunduğu söylenebilir.

Corporate governance is the sytem which regulates the relationship among the board of directors, shareholders and the senior management. When assessing the success of the corporate governance applications, the framework of the interrelationships among the different departments is put out in a clear manner. Board of Directors is a unit which creates the relationships between the shareholders and the senior management and has an important responsibilities in the success of corporate governance. This study consists of two main parts. Corporate governance is explained in detail in the first part. In the second part, relationship between firm value and corporate governance is evaluated. According to the results of the study, a correlation exists between corporate governance and firm value.
